Dillane, Director, Finance and Business Services Item EX9.8 RE: LONG TERM OFFICE ACCOMMODATION PROJECT Acquisition Update KEY ISSUE Directs staff to pursue acquisition of suitable office accommodation and report to the Authority at the earliest opportunity. RECOMMENDATION THAT Toronto and Region Conservation Authority (TRCA) staff be directed to pursue acquisition of suitable office accommodation and report to the Authority at the earliest opportunity. BACKGROUND The Authority established the Long Term Office Accommodation Working Group to work with staff in considering all options to resolve TRCA's long term office accommodation needs. Staff has consulted at regular intervals with the working group and advised of the following options: 1. FULL BUILD OUT - 120,000 square feet LEED Platinum building located adjacent to Black Creek Pioneer Village (BCPV) $40 million - $50 million project 2. NEEDS ONLY BUILDING - 80,000 square feet LEED Gold building located adjacent to BCPV $20 million - $24 million project 2.(A) NEEDS ONLY BUILDING - 40,000 square feet LEED Gold building located adjacent to BCPV $10 million - $12 million project 3. ADAPTIVE REUSE OF INDUSTRIAL/INSTITUTIONAL SITE - 60,000-100,000 square feet - LEED rated, location to be determined $12 million - $15 million project 4. LEASE/JOINT VENTURE WITH YORK REGION - minimum 40,000 square feet - LEED Gold (minimum), location at subway/transit hub, Steeles Avenue $ - unknown 5. MIXED USE PROJECT - commercial/residential redevelopment of parking lot, BCPV $ - unknown 203

6. PURCHASE OF EXISTING OFFICE SITE - existing facility (office/commercial) of 60,000 to 100,000 sq ft $5 million - $10 million project 7. SHORT TERM LEASE - up to 20,000 square feet, close to 5 Shoreham Drive, short term (less than 10 years) $ - unknown 8. "VIRTUAL" OFFICE - combination of 2.(A) and use of technology to avoid need for office space $10 million to $12 million for 2.(A) plus $ unknown for technology and leased space in key "hub" locations 9. JOINT VENTURE WITH TTC/BUILD TORONTO - TTC is building a new headquarters building at Yonge and York Mills. Possibility of a partnership/equity arrangement Staff has been assisted by representatives of CB Richard Ellis as well as Phil Goldsmith, Architect. RATIONALE At its meeting on April 30, 2010, the Long Term Office Accommodation Working Group accepted the staff recommendation of Option 6 as the option which best meets TRCA needs at the current time while leaving open opportunity to pursue options 1, 2, 2A, 4, 5 and 8. Attachment 1 is the staff report outlining this option. Staff has concluded that the best long term solution to its office accommodation is to take advantage of the future value of the lands at 5 Shoreham Drive and the parking lot at Black Creek Pioneer Village (BCPV). This value will likely be realizable in 10 to 15 years as the subway is completed and the lands adjacent and at York University are fully built out. In the interim, suitable office accommodation can be purchased in the range of $160 to $175 per square foot. The cost to build office space either at 5 Shoreham Drive or the BCPV parking lot would be in the range of $250 to $300 per square foot. Given the fact that the existing commercial office market is at a relative low point, the purchase price including the land base can be regarded as an investment which in 10 to 15 years can be sold to help finance the redevelopment of the lands at 5 Shoreham Drive and BCPV parking lot. Staff has conducted initial analysis of various scenarios and believes the purchase of suitable office space can be achieved within the existing budget. Cash flow of TRCA is healthy and can sustain the investment. DETAILS OF WORK TO BE DONE Staff has several properties under consideration with the help of CB Richard Ellis. Staff is meeting with representatives of the Royal Bank to consider establishment of a line of credit sufficient to ensure TRCA has future cash flow so as not to jeopardize any of its existing projects and programs. Upon conclusion of required due diligence, staff will bring to the Authority a proposal for acquisition of an office site. 204

Time is of the essence as the market opportunity to secure suitable office space will diminish as the economy improves and interest rates increase. Accordingly, staff will bring a recommendation to the Authority as soon as possible. FINANCIAL DETAILS As noted, staff believe that the financing of this acquisition can be accomplished without impact on existing projects and programs using the funds currently available to TRCA. RECOMMENDATION IT IS RECOMMENDED THAT the status report on long term office accommodation activities to April, 2010, dated April 21, 2010, be received. BACKGROUND Staff reported to the Long Term Office Accommodation Working Group on January 29, 2010, at which time a report was provided on options and next steps. (see Minutes Meeting #3/09, held on January 29, 2010). With the advice of the Working Group, staff advised that they would pursue the following options: 6. Possible joint venture with Toronto Transit Commission (TTC) on new headquarters RATIONALE Staff has continued to explore the four options described above to meet TRCA's long term office accommodation requirements. The following summarizes the options under consideration: 6. PURCHASE OF EXISTING OFFICE SITE - existing facility (office/commercial) of 60,000 to 100,000 sq ft $5 million - $10 million project 206

This is considered by the project team to be the most viable option at this time because of the following factors: Favourable/existing market conditions within this sector of the marketplace. It is a buyers market as very limited demand in the marketplace currently exists for large scale facilities of this nature. This is the most affordable option, i.e. a project up to $10 million could be financed by municipal partners at $1 million annually over 10 years (less with longer term) which is likely to be within the capability of Toronto and Region Conservation Authority's (TRCA) partners. Can effectively meet TRCA's present, as well as future, needs. The most sustainable option is one where TRCA uses an existing structure. Cost effective i.e. 100,000 square feet @ $100.00 PSF = $10,000,000 vs $300+PSF for new building. Excess space (over and above TRCA's immediate requirements provides for additional revenue opportunities via sublease potential). Benefit from existing infrastructure/built out (i.e. lunchroom/cafeteria, computer rooms, back up generator, built out office components, lobby, board/meeting rooms, exercise facilities). With municipal partner support, TRCA could offer a cash deal; if TRCA must have financing, low borrowing rates can be secured. In the long term, such an investment could be sold and the proceeds used to facilitate redevelopment proposal (option 5). Staff has yet to find a suitable facility that meets TRCA needs in terms of space, location, parking and cost. At the meeting, staff will do a short presentation of some of the sites which have been considered. This continues to be the option which meets immediate needs and provides potential cost benefit for future development 4. LEASE WITH YORK REGION - minimum 40,000 square feet - LEED Gold (minimum), location at subway/transit hub, Steeles Avenue $ - unknown Staff has met with the President and representatives of the York Region Rapid Transit Corporation to discuss their development plans for the site on Steeles Avenue between Keele and Jane streets where the new subway station will be located. They described the preliminary plans for this area including potential office space. They were receptive to the idea of TRCA participating in the project as an investor taking space in condominium type office project. The build out time frame remains uncertain but is likely late 2014 or 2015. This remains a possible option and staff will continue to work with the Corporation. 3. ADAPTIVE REUSE OF INDUSTRIAL/INSTITUTIONAL SITE - 60,000-100,000 square feet - LEED rated, location to be determined $12 million - $15 million project Staff asked for advice from Phil Goldsmith, TRCA's architectural advisor, on the potential cost of retrofitting an industrial building. Based on his estimates, staff believe that this option would only be considered if the location, parking and initial cost were such that the site met or exceeded TRCA needs. The cost to retrofit will be in the range of $150 to $200 PSF which when combined with purchase cost brings the per square foot cost close to the cost of building a new structure. This option has been put on hold. 207

NEW: JOINT VENTURE WITH TTC Staff has met with representatives of Build Toronto who are working with the TTC on their proposed new headquarters building at York Mills and Yonge Street. The TTC is proposing to build additional space to meet future needs. This might present an opportunity for TRCA to lease such space in the medium term. Such a leasing proposal would have to be competitive with leases in preferred locations. The timing of this project is unknown but would likely have occupancy in 2013. DETAILS OF WORK TO BE DONE Staff will continue to pursue Option 6. Should a property be found which meets TRCA needs, staff will bring this forward to the Working Group and the Authority with recommendations. Staff will continue to meet with Region of York representatives to consider Option 4. Other options remain on the table but will be "on hold". Staff will continue to report to the Working Group as the project continues. FINANCIAL DETAILS To date, costs have been limited to modest consulting fees. Funds are available in the 2010 capital budget. The subject property is located along the edge of the West Don River Valley Corridor. The existing top-of-slope of the well vegetated valley is located approximately 2 metres from the rear property boundary. The proposed works are located within a flat, already disturbed area currently devoid of any significant vegetation. A low rock retaining structure (approximately 0.3 metres tall) and the inground pool will be located approximately 1 metre and 3 metres away from the rear lot line, respectively. TRCA geotechnical staff are satisfied that the proposed works are sufficiently setback from the existing top-of-slope and will not adversely affect the stability of the slope feature. 218

Control of Flooding: The proposed works are not located within the Regional Storm Flood Plain. There will be no impacts on the storage or conveyance of flood waters. This permit is the first of two to be brought forward for works on the subject property. The works proposed under this permit are related to the first phase of site preparation works (topsoil stripping, earth works, servicing) associated with the Fernbrook Homes subdivision, which is located directly south of the Etobicoke Creek valley system. A temporary stormwater management pond will be constructed on-site, outletting to an existing stormwater management outfall on the south side of Mayfield Road. This subdivision is located adjacent to a section of Etobicoke Creek that is presently owned by the TRCA. As a component of this development - which will be brought forward with a future permit - a restored buffer is being provided between the proposed development and TRCA valleylands. An additional permit will be brought forward to a future Executive Committee meeting for works associated with other components of this development, including valleyland enhancement works. 220

Control of Flooding: The proposed work area is located outside of the Regional Storm Flood Plain of Etobicoke Creek. and as such no impacts to the storage and/or conveyance of flood waters are anticipated as a result of these works. The purpose is to complete road works and install stormsewers. No timing window will apply to the works. RATIONALE The application was reviewed by staff on the basis of the following information: Proposal: The original proposal approved under Permit #C-07031 was to widen and extend Birchmount Road to a 4-lane collector road from 14th Avenue northwards to the northern limit of Highway 407, This included the widening of existing Birchmount Road to a four lane urban section from 14th Avenue to Royal Crest Court; constructing a new road between Royal Crest Road to just north of Highway 407; constructing a CN Rail underpass north of Royal Crest Court/Citizen Court, and constructing retaining walls at both sides of CN underpass. This permit also included approval to relocate and bisect the existing Concanmar stormwater management pond, absorbing a section of existing channel in pond reconstruction, regrading of the flood plain, constructing a new outlet structure, and the construction of a stormsewer at the northern end of the pond. 222

The original permit was issued March 3, 2006 to March 2, 2008. The works were not completed within that time and the Town of Markham applied for, and received, a permit extension from March 3, 2008 to March 2, 2010. The permit extension has now expired and the works are not yet complete. In order to comply with Ontario Regulation 166/06 requirements, no further extensions are permitted. As such, the Town of Markham is applying for a new permit in order to complete the remaining works located with the Regulated Area. These works include landscaping and installation and relocation of stormsewers. The only modification to the original plans involve the substitution of two 900mm stormsewers with one 1800mm stormsewer under the CN Rail line for a distance of approximately 90 metres. Under Ontario Regulation 166/06, permits are issued for two years and legally there is no opportunity to extend the expiry date of the approval. Staff recognized that some works, especially those related to public infrastructure works, require more than two years to reach completion. Staff implemented a permit re-issuance protocol, approved May 9, 2008, which outlines criteria used to determine if a previously approved Ontario Regulation 166/06 permit may be re-issued. One of the criteria is that there are no prior re-issuances. Therefore, the application is subject to TRCA regular review and procedures, including the requirement for Executive Committee approval. Control of Flooding: The proposed project will have no impacts on the storage or conveyance of floodwaters. Pollution: Standard erosion and sediment control measures (sediment fencing) will be implemented prior to construction and maintained for the duration of construction, and until the site is stabilized and restored, in order to prevent construction generated sediments from entering any watercourse or wetland. Erosion and sediment control measures have been provided in accordance with the TRCA Erosion and Sediment Control Guideline for Urban Construction. The purpose is to construct a new single family dwelling within a Regulated Area of the Humber River watershed at 8120 17th Sideroad in the Township of King.. The permit will be issued for the period of May 7, 2010 to May 6, 2012 in accordance with the following documents and plans which form part of this permit: Site Plan, prepared by Young & Young Surveying Inc., received by the TRCA May 7, 2010, redline revised to indicate the removal of excess fill material and location of sediment control fencing. RATIONALE The application was reviewed by staff on the basis of the following information: Proposal: The purpose is to construct a new single family dwelling within a Regulated Area of the Humber River watershed. The subject property is partially located within the Wetland Area of Interference of a wetland located along 17th Sideroad and a Provincially Significant Wetland (PSW) located along the eastern property boundary. 224

Based upon a site visit conducted by TRCA staff on August 5, 2009 and the site plan provided, the property contains a relatively gentle slope between the proposed works and the wetland feature which has not been identified as a PSW. The slope has an inclination of approximately 4 Horizontal : 1 Vertical and the proposed driveway is located approximately 10 metres away from the top-of-slope while the dwelling will be located approximately 20 metres away from the top-of-slope. TRCA geotechnical staff are satisfied that the proposed works are adequately setback from the slope feature and will not impact the stability of the slope. The proposed works are located a minimum of approximately 60 metres away from the wetland feature which was not identified as a PSW and approximately 150 metres away from the PSW. TRCA ecology staff are also satisfied that the proposed works are adequately setback from both wetland features and will not impact the integrity of these features and any other features identified in the Natural Heritage Evaluation, prepare by SAAR Environmental Limited, revise dated April 9, 2010, which was prepared for the related Site Plan Application (Application No. SPD-09-62). Control of Flooding: The proposed works are not located within the Regional Storm Flood Plain. There will be no impacts on the storage or conveyance of flood waters. Pollution: Sediment control fencing will be erected and maintained for the duration of construction to prevent the transport of sediment into the nearby wetland feature and down the slope. Dynamic Beaches: Not applicable Erosion: TRCA geotechnical staff are satisfied that the proposed works are adequately setback from the slope feature and will not impact the stability of the slope. Conservation of Land: As a watercourse will not be impacted by the proposal, no fisheries concerns will result. There are no other significant natural features on or adjacent to the site that may be negatively impacted by the project. Plantings As part of the associated Site Plan Application, a restoration planting plan has been submitted to create a buffer composed of native, non-invasive planting between the proposed residential use and the slope and wetland feature. All other areas will be restored to their existing sodded condition and will not affect any significant natural features. 225
