General terms and conditions of sale 1 ORDERS Product orders will only be binding on TEUCO Spa after written acceptance. 2 ORDER CANCELLATIONS No orders may be cancelled without the explicit written consent of TEUCO Spa who, if this is not the case, shall be entitled to charge the inherent fees. Unjustified order cancellations shall not be permitted. Under no circumstances may TEUCO Spa take into consideration cancellation requests received after 5 (five) working days from the order confirmation date. Should TEUCO Spa exceptionally decide to accept an order cancellation after this time, 20% of the value of the order shall be charged. 3 DELIVERY TERMS AND METHODS The product delivery time frames, where confirmed by TEUCO Spa, must be understood to be purely indicative and never binding. Ordered goods shall, nevertheless, be deemed as having been delivered, when they have been handed over to the carrier assigned with the transport, at TEUCO s facility in Montelupone. 4 PRICES The sale price of each product is specified in the price list, valid at the time the order is made, and must be considered as valid for goods ex works in Montelupone (MC - Italy), unless otherwise agreed. All expenses and additional costs, however, must be added to the list price (including for example: duty and/or taxes relating to sale and transportation), which shall be payable by the purchaser. The installation of the products is excluded in all circumstances and must be performed at the expense and under the responsibility of the purchaser. TEUCO Spa reserves the right to modify its price lists, quotes and discounts without needing to give prior notice thereof. 5 PAYMENT The payment terms, unless otherwise approved and specified in writing by TEUCO Spa, are as follows: a) for sales within Italy: 30 days after the invoice date, when a credit agreement exists; otherwise: cash on delivery; b) for sales outside Italy: irrevocable letter of credit, confirmed by one of the main Italian banking institutions. Non-payment - even partial - of the amount due at the agreed deadlines or even of just one instalment of any payment in instalments agreement will lead to the expiry of the deadline for subsequent instalments and TEUCO Spa will therefore have the right to demand the immediate total payment of the entire outstanding sum due from the purchaser. All the products supplied remain the property of TEUCO Spa until full payment has been made. 6 PACKAGING The list price of all products includes packaging, if envisaged, for overland road transport. Goods delivered by train and/or boat require special packaging, which entails an additional charge of 5% on the net total of the ordered supply. 7 TRANSPORTATION Once the goods have been delivered by being handed over to the carrier, they travel at the risk and under the responsibility of the purchaser, even if TEUCO Spa has agreed to pay the transport costs. 8 LIABILITY The liabilities on the part of TEUCO Spa for damage due to faulty products are those set forth by the law. IMPORTANT NOTICE The product must be installed, as it is supplied by TEUCO Spa, following the instructions and advice provided in the technical catalogue. TEUCO Spa provides no guarantee for damage to the product following incorrect installation.
