ELECTRO EXPO 2018 Powering Innovation & Technology 2018 REGIONAL EXPOSITION Huntington Convention Center, Cleveland, Ohio March 6-9, 2018 EXHIBITOR AGREEMENT The undersigned ( Exhibitor ) agrees, subject to acceptance by The Electrical League of Ohio (the Electrical League ), to occupy and pay for space in which to display and operate an exhibit in connection with the ELECTRO EXPO 2018/2018 ELECTRICAL ENERGY EXPOSITION to be held at the Cleveland Convention Center, Cleveland, Ohio, on March 6-9, 2018, and accepts and agrees to be bounded by the following rules, terms and conditions: 1. Payment for booth rentals will be made on or before January 12, 2018, at the rate indicated in paragraph 7 of this Agreement for each space which includes 10 x10 space, uniform 8 background, side spacers, company name sign, carpet and vacuum service, wastebasket, two (2) side chairs, 6 table, one electrical outlet, and one ticket to opening night event. Other furniture, decorations, and craft services will be available through the official show decorators at established rates. In addition to booth amenities, included in booth price is the use of a conference room. 2. The exhibit space will be available for set-up on Tuesday, March 6, 2018, from 8:00 a.m.- 4:00 p.m., unless otherwise directed by show management. 3. Lighting and additional power connections for each exhibit shall be made by the official show decorator at the Cleveland Convention Center, and shall be paid by the Exhibitor. 4. Exhibitor shall have qualified personnel staffing its exhibit (or each exhibit, if more than one) at all times during the fixed hours of the show. The hours will be established by the Executive Committee, and the Electrical League will provide Exhibitor with written notice of the hours on or before January 5, 2018. Exhibitor shall designate in writing an individual who will be in charge of Exhibitor s booth and authorized to enter into such service contracts as may be necessary. 5. It is understood and agreed that appropriate committees shall have charge of all matters pertaining to the operation of the show under the direction of an Executive Committee; and that all exhibitors shall abide by the final decisions of the Committees, determined by majority action, upon any question. Arising or disposition made in connection with any exhibit, the location thereof, or the operation of the show. Wherever possible, assignment of space will be made according to requests, but each exhibitor agrees to take the space assigned by the Committee. Exhibitor must meet the requirements of the Hungtington Convention Center in addition to those of show management. Exhibitor shall be solely responsible for the safe display and conduct of Exhibitor s exhibit. 6. In the event the show shall not be held for any reason whatsoever, including cancellation, postponement, abandonment or curtailment, then and thereupon the rental and lease of space to the exhibitor shall be terminated. In such case the return to the exhibitor of the deposit or rental already paid for space shall be the limit of liability of the show management and/or the Electrical League, their servants, agents and employees. 7. In consideration of assignment to use of 10 by 10 booth/s at $1,975.00 each for members of the Electrical League and $2,275.00 each for non-members (includes membership) for use during the period of the show, the undersigned agrees to pay in advance to The Electrical League of Ohio the sum of $ on or before January 12, 2018 and in further consideration therefore:
Exhibitor shall save harmless and indemnify the Electrical League, their servants, agents, and employees and all members of committees acting in or having any official connection with the general conduct and operation of the 2018 ELECTRO EXPO/ELECTRICAL ENERGY EXPOSITION, including the employers of any such persons, from and against all loss and expense, including counsel fees and all legal expense, suffered or incurred by reason of claims for injury to or death of persons, or damage to or loss of property, suffered or sustained by any person or persons, including employees or Exhibitor, arising or growing out of the presence of the exhibit of Exhibitor or the display, conduct or operation thereof, the transportation, setting up, or removal thereof, or in whatever manner resulting from any condition or occurrence in the area of the exhibit space of Exhibitor, except as such indemnity undertaking is prohibited by the Workmen s Compensation Laws of Ohio, particularly Section 4123.82 of the Ohio Revised Code. 8. Exhibitor shall be solely responsible for the safe handling and protection of their property and exhibit, and agrees to not make any claim for damage to or loss of the same against the Electrical League, committee members, or other persons described in the above indemnity clause whether or not such loss or damage may be attributed to negligence of any of such persons. The Electrical League, its members and their servants, agents and employees, shall have no liability to Exhibitor whatsoever arising out of this agreement or The 2018 Electrical Energy Exposition /Electro Expo 2018 Powering Innovation & Technology, other than as provided in paragraph 6 of this agreement. 9. Exhibitors are advised to carry floater insurance to cover exhibit material against damage and loss and public liability insurance against injury to the person or property of others. 10. Exhibitor shall not sublet the whole or any part of the space allotted unless authorized, in writing, by the committee. 11. As a participant to 2018 Electrical Energy Exposition/ Electro Expo 2018 you agree to terms, conditions, rules and regulations of the Cleveland Convention Center. 12. No exhibitor shall have a hospitality room open during show hours. 13. No exhibitor shall display more than two manufacturers products or services in any one booth. 14. Both copies of this contract are to be returned to the office of the Electrical League at the address below properly signed by an officer or authorized agent or Exhibitor. Upon acceptance by the Electrical League, this will become a binding contract and one copy of signed contract will be returned to Exhibitor.
