REQUEST FOR PROPSAL The City of Poughkeepsie (the City ) is seeking 501 (c) (3) entities to lease a portion of a City owned property located at 36 North Clover Street for the purpose of providing early child development for area residents, especially those that may be most vulnerable, including educational, recreational and cultural experiences. SUBJECT PROPERTY Subject Property is a 5,648 SF two-story old-style house with a full basement and full attic located at 36 North Clover Street in the City of Poughkeepsie, County of Dutchess, and State of New York. It is more particularly know as Tax I.D. #6062-75-837228. It sits on a 2.26-acre parcel, a portion of which is open to the public and utilized as a park and will be available on a non-exclusive basis to the tenant. Copies of interior pictures are contained herein as Attachment A. PROPERTY HISTORY The Subject Property, commonly known as the Pelton Mansion, was built in 1859 to house city pioneers Charles and George Pelton and their families. The City of Poughkeepsie purchased the property in 1908 and it became home to the Poughkeepsie Day Nursery ( PDN ) in 1912, which occupied the building until this year. The lease agreement with PDN provided for nominal rent but all utilities, improvements and maintenance were the responsibility of PDN. PDN has recently performed upgrades to the building including exterior maintenance, boiler replacement and roof repairs. In 2010, the structure was designated as a local historic landmark in accordance with the City of Poughkeepsie Historic District and Landmark Preservation Law. REQUIREMENTS 1. Each respondent must submit with its proposal how it will accomplish the program delivery of early child development, including but not limited to: a. A description of the program to be delivered and its interrelationship with other area social service agencies. b. Outline of objectives of program.
c. Mission statement d. Vision statement e. Number of youth to be served f. Number of employees g. Types of improvements to be made by lessee at lessee s expense. h. Targeted timeline for program implementation. i. Proposed terms of lease including length, rent offered, maintenance, and utilities. j. Two letters of reference relating to similar operations, if applicable. 2. Each respondent must submit proof of its 501(c)(3) status, articles of incorporation, bylaws, a list of all officers and directors and five (5) years of financial statements (if applicable). 3. Each respondent must provide a copy of the organization s 990 or 990-N filed with the Internal Revenue Service. 4. Each respondent shall comply with all federal, state and local laws and regulations including but not limited to; laws involving the use, building permits, zoning and code enforcement. 5. The Property is designated as a historical structure pursuant to the City of Poughkeepsie Historic District and Landmark Preservation Law and any exterior improvements shall be in compliance with this Law. 6. Each respondent shall, upon request, agree to provide the City of Poughkeepsie reports, financial information, and other information, as requested, which may be needed to ensure compliance with local, state and federal laws and regulations. 7. Each respondent shall submit a non-collusion statement for each director and officer of the Not For Profit. (See Attachment B )
8. Four copies of each proposal shall be received and date stamped in the location described below by no later than: 3:00 p.m. Local Time on September 30, 2014. All proposals received after that time will not be considered, and will be returned unopened to the respondent. 9. LIMITATIONS This RFP is not an offer to enter into an agreement with respondents. Only the execution of a written Lease Agreement will obligate the City in accordance with the terms and conditions in such Lease. The City reserves the right to accept or reject any and all proposals received pursuant to this request, to negotiate with one or all qualified respondents, or to cancel in part or in its entirety this RFP if it is in the best interest of the City to do so.

ATTACHMENT B The undersigned declares that this Proposal is made in good faith, without fraud or collusion with any person or persons submitting a proposal on the same Agreement; that the undersigned has carefully read and examined the Request for Proposal documents, including the Requirements and Limitations, and understands them. The undersigned declares that it is fully informed as to the nature of and the conditions relating to the Subject Property. Additionally, the undersigned was given a full opportunity to inspect the premises prior to submitting the proposal. The undersigned acknowledges that it has not received or relied upon any representations or warranties of any nature whatsoever from the City of Poughkeepsie, its agents or employees, and that this Proposal is based solely upon the undersigned s own independent business judgment. If the City accepts this Proposal and the undersigned fails to enter into an agreement within thirty (30) days of the date of acceptance, the undersigned will be deemed to have abandoned its Proposal and the City of Poughkeepsie will not be obligated to contract with the undersigned. In submitting this Proposal, it is understood that the right is reserved by the City to accept any Proposal, to reject any or all Proposals, to waive irregularities and/or informalities in an Proposal, and to make the award in any manner the City believes to be in its best interest.
