The Company does not seek and will not accept Dealer agreement to this Policy. However, the Company reserves the right to discontinue doing business with any Dealer that chooses not to comply with the following Policy. No Modern Fan Co. product should be advertised, offered, promoted or sold by a Dealer at a net price less than twenty percent (20%) off current Company list prices. Each Dealer is free to establish prices at whatever levels it chooses. However, the Company reserves the right, without assuming any liability, to terminate the account if a dealer chooses not to comply with the Policy. Bundling of Company products with non-company products or with any services, including installation, invoiced at a single price will be viewed as a violation of the Policy. However, shipping charges or fees will not be considered under this policy. A Dealer s choice whether to charge or how much to charge a consumer for the transport and/or delivery of product is at the discretion of each Dealer and is viewed as a separate and unrelated transaction from the cost of goods under this Policy. The exemptions to this Policy are: (1) Commercial sales, including: sales to licensed contractors/builders; sales to certified architects or designers for the purpose of resale; sales to electrical suppliers; sales to purchasing agencies or owners/developers of a commercial property for which product is being sold. (2) Dealer employee discounts. (3) Products that have been established by the Company as discontinued items. This Policy is a unilateral statement of the terms upon which the Company will do business. Each Dealer is free to independently decide whether or not to follow this Policy. The Company does not ask for, nor will it accept, any assurance of compliance or agreement from a Dealer regarding this Policy nor will the Company discuss any conditions of acceptance related to this Policy. Notwithstanding anything to the contrary which may be expressed or implied in or by one or more agreements between the Dealer and the Company (including without limitation any Dealer agreement), nothing in those agreements shall constitute an agreement by the Dealer to comply with this Policy. It is our company practice not to discuss the Retail Price Policy. Accordingly, all personnel and representatives have been instructed not to discuss the Policy with anyone outside the Company or even to communicate to Company management any complaints or advice that any Dealers are selling Company products at prices lower than those set forth in the Policy. Please do not discuss this Policy with Company personnel or communicate complaints or advice to Company personnel.
