23 TERMS OF SALES PAYMENT TERMS TERMS: Payment shall be received within 30 days from invoice date for customers with credit approved by ARCOT Manufacturing Corporation (hereafter referred to as Arcot ). Customers who do not have credit established with Arcot shall pay upon pick up or delivery of merchandise. Past due invoices will bear interest charge at the rate of 1½% per month and attorney fees if account is placed for collection. Any invoice which is not fully paid within the above 30-day term will result in account being put on credit hold and the terms being changed to C.O.D. basis for all future orders. Any check not processed due to insufficient funds will be charged a $25.00 fee. TAXES If any tax is now or shall be hereafter imposed or increased by any federal, state or municipal taxing authority, upon the manufacture, sale, transportation or delivery of any item covered hereby, the price to be paid to Arcot by the Purchaser here under shall be increased by the amount of any such tax or increase in tax. CREDIT APPROVAL Orders are accepted subject to approval by the Credit Department. Delivery will be withheld and shipment stopped on accepted orders if the available credit information indicates doubt as to the customer s ability to pay in accordance with payment terms. A credit application provided by Arcot must be filled completely by the customer upon placing the first order. SELLING PRICE Prices will change periodically as a result of changes in the cost of raw materials and packaging goods and as a result of fluctuations in the cost of doing business. Prices are subject to change without advance notice. SPECIAL ORDERS For customers who do not have an open account established, non-stock orders will require full payment prior to production. Special orders of non-stock items and packages are final and may not be cancelled once order is processed. RETURN POLICY Merchandise shall not be returned to Arcot without written authorization by Arcot. Returned goods found to have a manufacturer s defect, or goods returned due to error made by personnel of Arcot, will be credited at the invoice price. Return authorizations will not be granted and damage claims will not be accepted after 60 days from shipping date. If cause for return lies with the customer, any agent of the customer, or any source other than Arcot, Arcot will assess transportation charges and other charges (including repackaging costs) that may have been involved in the sale and a minimum charge of 15% of the invoice price for rehandling the merchandise. Goods authorized for return must be in new, clean saleable condition and in their original packaging. Replacements will be provided only for the quantities returned in original shipping conditions. Upon return of goods that have been authorized to be returned, credits will be issued which can be used for payment of future invoices. No cash refunds will be issued for returned goods. WARRANTY DISCLAIMER Arcot requires that all distributors and customers of the distributors carefully read and understand labels and material safety data sheets. Since it is impossible to anticipate the conditions under which our products may be used, Arcot cannot guarantee that the recommendations will be adequate for all individuals and situations. Each user of our products should determine the suitability of each product for the particular purpose of the user and should comply with all federal, state and local regulations. There are no implied warranties of merchantability or fitness for a particular purpose. Our goal is to manufacture products with minimal defects and minimal hazards. However, Arcot will neither be responsible nor allow claims for consequential damages, labor, repairs, injuries, lost time, freight costs or cost of any kind beyond replacing products considered defective by the quality control department of Arcot. DELAYS Arcot will not be responsible for delays in delivery caused by any factors beyond our control such as, but not limited to, storms, power outages, fire, strikes, riots, shortage of material or transportation delays. CANCELLATION OF ORDERS The customer agrees to all expenses and charges incurred as a result of cancellation and agrees to pay for all expenses and charges within 30 days. Orders for non-stock merchandise are not subject to cancellation. DELIVERY The point of sale for all merchandise is Arcot s Houston, Texas, location. At that point, the merchandise becomes the customer s property and responsibility. When merchandise is delivered by a common carrier, if damages or shortages are determined at the time of delivery, notation should be made on the delivery document and the delivery driver should acknowledge the notation by signing his or her name under the entry. The customer should then promptly notify Arcot and file a claim with the carrier for whatever damages or shortages are involved. Packaged merchandise should be opened and inspected at once. If damages or shortages are discovered after delivery, the customer should contact the carrier promptly and request an inspection and a written report. This request should be recorded so that if the carrier fails to make an inspection, this fact can be noted on the claim form.
