2 Mircom Price List Terms & Conditions of Sale General Provisions, Construction and Legal Effect Mircom has made no representations or warranties expressed or implied of any kind and there are no representations, warranties or conditions (expressed or implied or statutory or otherwise) other than those specifically contained herein and the terms herein constitute the entire terms and condition of sale between Mircom and the Purchaser. Exceptions to any terms and conditions set forth herein must be contained in a written (not printed) statement received by the Purchaser; Mircom shall not be deemed to have waived any of the said terms and conditions or to have assented to any alteration of said terms and conditions unless such waiver or assent is in writing and signed by an authorized officer or representative of Mircom. Waiver or failure by Mircom or the Purchaser to exercise any of its rights upon one occasion shall not be a waiver of its right to exercise the same rights on another occasion. Purchase Orders are expressly conditioned upon acceptance by Purchaser of these Terms and Conditions. Purchaser will be deemed to have assented to all these Terms and Conditions if it accepts any part of Mircom s goods. Any additional terms or conditions contained in any Purchaser Order or in any other correspondence shall be deemed objected to by Mircom and shall be of no force or effect. All claims by Purchasers shall be made in writing within thirty (30) days from the date of delivery of the goods except where made under a provision hereof for which a shorter or longer period is provided. Failure to present any such claim within the time herein fixed shall constitute a waiver of such claim or claims. The terms and conditions herein are current as of the date of this publication. These terms and conditions are subject to change from time to time and may be modified or amended at any time in Mircom s sole and absolute discretion. Mircom will use its best efforts to notify parties of any amendments or modifications effected between successive publications. Prices and Taxes Pricing for Canadian orders shall be Canadian dollar denominated. All other orders shall be United States Dollar denominated. The current published price list supercedes all previous price lists. All prices are subject to change and are not guaranteed. Mircom will attempt to, but not be obligated to, publish price list changes thirty (30) days prior to their effective date. The price applicable to each order shall be the price in effect at the date of order acknowledgement. Any price quotation by Mircom will automatically expire (i) thirty (30) days after its issuance unless accepted by Purchaser by means of submitting a purchase order and (ii) 180 days after such acceptance by Purchaser, if the ordered goods have not yet been shipped. Notwithstanding the foregoing, all price quotations are subject to revision or cancellation by Mircom. The purchase price does not include the amount of any duties or any sales, excise, use, value added or other taxes, all of which shall be for the account of the Purchaser and may be added to the invoice price. Terms of Credit and Payment With respect to goods ordered for Canada or the United States payment is due Net Thirty (30) Days following the date of issue of invoice by Mircom. Mircom may assess a 2% per month (24% per annum) service charge on overdue accounts. Mircom may at any time alter or suspend credit or change credit terms when, in its sole opinion, the Purchaser s financial condition or conduct so warrants. Purchaser shall reimburse Mircom for its reasonable cost and expense, including without limitation, attorneys fees or collection agency costs incurred in connection with proceedings or activity to collect any past due indebtedness of the Purchaser. For international orders destined for a jurisdiction outside of Canada or the United States, Purchasers must provide an irrevocable Letter of Credit at sight or Bank Guaranteed Draft. Orders The minimal acceptable order from Canada or the United States is $ in their respective currency and otherwise internationally US$ Any order with a net purchase price (less any applicable discount) of less than $100 may be refused by Mircom or invoiced at the minimum order amount. Orders will be accepted and entered by Mircom only when received in a signed purchase order form, or a signed letter on Purchaser s letterhead, or a signed-back Mircom written contract or quotation. In certain circumstances, verbal orders may be accepted but must be followed by acceptable confirmation in writing within five (5) days. Purchase orders submitted to confirm a verbal order must be marked Confirmation Only to avoid the possibility of double shipment and Purchaser liability for payment. Mircom will not accept orders for delivery beyond six (6) months. Orders for delivery beyond the six months period must be addressed in a separate agreement in writing and signed by an authorized officer or representatie of all goods returned in resoluble condition and may charge a restocking fee equal to 30% of the purchase price. 3 Order Cancellations or Deferrals Orders may be cancelled, modified or deferred by Purchaser prior to shipment only upon 45 days prior written notice and subject to cancellation charges, work in progress charges, storage charges or price revisions as may be determined by Mircom in its sole discretion acting reasonably. In the case of deferred shipments, Mircom reserves the right to invoice the customer, or accrue interest at the lesser of 2% per month or the highest rate permitted in the customer s jurisdiction, from the time Mircom is prepared to ship the goods. Shipment and Title Mircom may make partial shipments, in which case Mircom shall be entitled to issue invoices for a pro-rata portion of the purchase price based on the goods shipped at such time. In most instances, Mircom will make complete shipments only. All shipments made by Mircom shall be F.O.B. Mircom s plant or distribution facility. Mircom shall select the method of transportation and route of any shipment and not necessarily lowest cost delivery. Mircom will attempt to, but not be obligated to, satisfy Purchaser s requests for a particular routing or carrier. Delivery of goods to the initial carrier will constitute delivery to Purchaser and all goods will be shipped at Purchaser s risk. Shipments should be inspected for loss or damage upon receipt of goods. A claim for loss or damage in transit must be entered with the carrier immediately upon receipt of goods and prosecuted by Purchaser. Claims of short shipment must be made in writing to Mircom within five (5) days of receipt of goods. Mircom assumes no respone of all goods returned in resoluble condition and may charge a res Unless otherwise noted in the Price List, Mircom requires a minimum six (6) weeks advance notice on delivery requirements and eight (8) weeks notice for custom orders. In the case of standard, in-stock items, the minimum delivery requirement is one (1) week. In the case of international orders outside Canada or the United States, shipments will occur within six (6) weeks of receipt of the irrevocable letter of credit or bank draft. Discontinued Models, Changes and Substitutions Mircom specifically reserves the right, at its discretion, to at any time discontinue or make modifications to any goods including, without limiting the generality of the foregoing, changes to color, material equipment, specifications and models. Mircom, at its discretion, may ship such goods as are comparable in form and function to the actual goods ordered. Illustrations in catalogues and price lists do not necessarily reflect standard colors, materials and equipment. Warranty as to Goods Mircom offers no warranty and accepts no responsibility for goods not manufactured by Mircom. Such goods are subject solely to the terms and conditions of the manufacturer s warranty, if any, applicable to such equipment. Mircom warrants that, for a period of three (3) years from the date of manufacture, goods manufactured by Mircom will be free from defects in material and workmanship existing at the time the product leaves Mircom. Mircom s liability or obligation pursuant to this warranty does not extend to any good or parts thereof that have been (a) furnished by Purchaser or obtained from other manufacturers or suppliers at Purchaser s request or to Purchaser specifications, (b) installed, operated, maintained, repaired, or altered improperly or otherwise than in conformity to Mircom s applicable instructions, national or local codes or authority having jurisdiction requirements, or (c) subject to misuse, accident or neglect. Mircom assumes no responsibility or liability for the adequacy of any design, specification, drawings, or material furnished or specified by the Purchaser. Note: Most Mircom products contain software. With respect to those products, Mircom does not warranty that the operation of the software will be uninterrupted or error-free or that the software will meet any other standard of performance, or that the functions or performance of the software will meet the user s requirements. Mircom shall not be liable for any delays, breakdowns, interruptions, loss, destruction, alteration or other problems in the use of a product arising our of, or caused by, the software. Warranty as to Installation Mircom has no responsibility for, and will not perform, installation of the goods delivered. Mircom gives no warranty as to installation. Disclaimer of Warranties MIRCOM MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO ITS GOODS DELIVERED, NOR IS THERE ANY OTHER WARRANTY, EXPRESSED OR IMPLIED, EXCEPT FOR THE WARRANTY CONTAINED HEREIN. 4 Limitation of Remedies and Liability Purchaser s exclusive remedy against Mircom for any breach of any sales contract, breach of warranty, any act or omission (including its negligence), or any defect in any goods ordered or delivered (including under strict liability in tort and breaches by reason of alleged patent infringements) shall be, at Mircom s option, (a) the repair or replacement of goods with respect to which claims are made or, (b) the refund of the purchased price for such goods, less a reasonable charge for any actual use or diminution of value thereof that has been made or caused by the Purchaser. Mircom shall have the right, but not the obligation, to inspect goods on site. Unless notified by Mircom of its intention to conduct a site visit, Purchaser or its representative shall be obligated to return goods for which warranty is being claimed to Mircom s plant or designated repair center. All transportation charges on parts, or finished products, being returned to Mircom, or its repair center, for repair or replacement under the of all goods returned in resoluble condition and may charge a rest Unless otherwise specified in the Terms and Conditions herein, any claim by Purchaser against Mircom will be invalid unless made in writing within the following time periods: (i) all claims for breach of warranty must be made within thirty (30) days after the alleged defect becomes or should have become apparent to the Purchaser and prior to the expiration of the applicable warranty period; (ii) all other claims must be made within thirty (30) days of receipt by Purchaser of delivered UNDER NO CIRCUMSTANCES SHALL MIRCOM S LIABILITY EXCEED THE CONTRACT PRICE FOR THE GOODS FOR WHICH LIABILITY IS CLAIMED, AND IN NO EVENT SHALL MIRCOM BE LIABLE TO PURCHASER OR ANY OTHER PERSON FOR (A) CONSEQUENTIAL, COLLATERAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, PURCHASER BACK CHARGES FOR LABOUR OR OTHER INCIDENTAL COSTS INCURRED BY PURCHASER, OR (B) DIRECT DAMAGES (OTHER THAN DIRECT DAMAGES AS EXPRESSLY SPECIFIED Returns and Repair Goods may be returned only with prior written authorization granted by Mircom in its sole discretion following a written request from the Purchaser that includes the invoice number and the reason for the return together with, in the case of goods returned for repair, a reasonable description of the problems and symptoms. Mircom will not authorize returns for custom-ordered goods or for any non-defective goods 180-days after the shipping date. Mircom will refuse to accept any goods returned unaccompanied by Mircom s official Returned Material Authorization form. This form must be obtained from Mircom and properly completed. Mircom s issued RMA number must affixed to the return shipment and visible to Mircom s receiver. The Returned Material Authorization will expire 45-days after its issuance. Returned goods must be unused and packed in the original packages. Goods must be packed to protect from damage in shipping. Where credit for returned material is given Mircom will credit Purchaser the purchase price of all goods returned in resoluble condition and may charge a restocking fee equal to 30% of the purchase price. All goods returned to Mircom must be shipped with shipping charges PREPAID. Additional charges may be assessed for repair work required and a $50.00 per unit charge will be applied where no indication of the problem or symptom was described in writing by the sender. All returned goods shipped contrary to the above procedures shall be refused and returned to the sender freight collect. Please contact the Company for a full copy of the Return Material ( RMA ) policy which is a term of sale. Indemnification The Purchaser will forever defend, indemnify and hold harmless Mircom from and against any and all claims, losses and expenses (including without limitation, reasonable attorneys fees), on account of any injuries or deaths of any persons (including Purchaser s employees) or damage to any property arising from the Purchaser s unloading, storage, handling, installation or use of the goods purchased, except to the extent that such damages are attributable to Mircom s gross negligence or willful misconduct. Governing Law The Terms and Conditions of Sale between Mircom and the Purchaser are governed by the laws of the Province of Ontario. The parties expressly exclude the application of the United Nations convention on Contracts for the International Sale of Goods and the implementing legislation thereto. All provisions herein are several and the unenforceability of any one provision shall not affect the validity of any other provision herein. Page 3 of 3
