With innovation to success 2 In 2005, the executives of Reinigungstechnik Frey GmbH and the company W&E Lamellenreinigung founded the new spscleaning-systems Ehmann & Frey GbR. The company aims at pooling long-time experience in the field of cleaning sun protection installations and buildings and also at improving the ways to clean these installations effeciently and professionally. As our patented roller brush system LMR 3000 for the stationary cleaning of all kinds of internal and external Venetian blinds has proved its worth for years, developing further technologies for cleaning other fields of solar protection installations was self-suggesting. There is a huge demand for a mobile device external Venetian blinds can be cleaned with. The basic principle of the roller brush cleaning technology led to the development of our mobile cleaning system AJR professional, easy to handle and without chemicals, which enables the user to clean external Venetian blinds directly on the building efficiently and environmentally friendly. Since its first presentation during CMS trade fair in 2005, the AJR professional has been successfully established in the European market, and in 2006 it received the Innovation Official awards ceremony, the R+T Innovation award 2006 is handed over by Prof.Gerhard Hausladen (TU Munich) from left: Eberhard Frey, Prof. Gerhard Hausladen, Thomas Ehmann LMR 3000 Award during R+T trade fair in Stuttgart. Besides some technical details on the AJR professional, our range of accessories has been enlarged by further special gears TLT/Z for the work on highly sensitive daylight guiding Venetian blind systems. This enables the user to work mechanically on these hard-to-clean sun protection installations with their partial mirror finish also inside buildings. As a further innovation, sps-cleaning-systems present a new machine, TFR 2200, which enables the user to mechanically clean textile panel blinds easily and practically without wear and tear. It is the first compact cleaning system for the valuepreserving treatment of roller blinds, panels, plissée blinds as well as textile and screen planes with roller brushes. TFR 2200 is a further product that enlarges the application-oriented machine range of sps-cleaning-systems. Our company s wide product range is completed by the time-tested SK vertical blind cleaner series, covering the professional cleaning of Louvre blinds by a washing process involving lifting mechanics with or without the additional application of ultrasound.

5 Operational description The AJR professional cleaning device is an innovative modular system for the professional cleaning of horizontal external blinds on buildings or in the workshop. of dirt on the surfaces and UV light. This is also true for the slat surfaces. If the varnish or the eloxate is in perfect condition you may count on an excellent result of the cleaning process. When cleaning you move the rotating cylindrical brushes of the hand module along the open sun protection installations while water is let in. The cylindrical brushes can be moved from left to right or vice versa depending on what kind of cleaning process you require. You can change the distance between the brushes for varying slat width or apply brushes of an according length in order to reach optimal cleaning results. 5 Harald Frey bei der Arbeit mit der AJR professional The blinds are cleaned fully mounted, including ladder and lift tape. Depending on the slat size and their degree of staining there are corresponding additional modules at your disposal. When different gear units are used, all Venetian blind sizes of 50 to 100 mm can be cleaned. If the sun protection installations you want to wash are very dirty you can clean them efficiently by proceeding slowly or staying in the same spot for a little time. Above all, the professional value-preserving cleaning process has to include the cleaning of the ladder and lift tapes since here a process of decomposition can be triggered by a combination When fully demineralized water is used, the cleaned blinds are guaranteed to dry residuefree.

7 Additional TLT gears for high-grade internal Venetian blinds with daylight guiding technology When using special gear units amplifying the system you can also work on internal daylight guiding blinds. These modern blind types only work at their best when they are cleaned regularly: Due to their special coating (high-gloss mirrored surface, sealed with a protective laquer) and their convex form, the slats of these blinds are especially prone to dust and dirt. This, however, greatly infringes their initial function of guiding the light. Cleaning this kind of blinds requires a modern and material-preserving cleaning method. By the use of demineralized water it is guaranteed that there is no residue when cleaning these high-grade blinds and also the ladder and lift tapes. The handheld roller brush machine can be used to work on daylight guiding blinds of the sizes 29 mm, 33 mm and 46 mm when equipped with extra-soft special brushes. This covers all sizes currently in the market. Special brushes preserve the surface coating For cleaning, blinds placed inside a building are dismounted and cleaned off-grounds in a workshop. 10 Description of Function The cleaning machine TFR 2200 is an innovative system for the professional cleaning of large-scale textile sunprotection installations like e.g. panel blinds, roller blinds, plissé blinds, textile and screen panels. The sun protection installations are cleaned as a whole, i.e. the textiles are not separated from the blind system, the textile panels of a panel blind are worked on entirely. During the entire cleaning process the textile panels are exclusively worked on while rolled onto various shafts. Thus frayed edges or folds can be ruled out. zur textilen Flächenreinigung 5 steps to success 10 During step 1, the blind to be cleaned is pretreated with biodegradable detergent in a special container. During step 2, the textile pane is totally immersed in another integrated cleaning container. During step 3, the cleaning process is continued by two rotating roller brushes. The rotation speed can be individually adjusted to the degree of staining and the nature of the fabric. During step 4, the entire fabric is rinsed with clear water and thus freed from detergent rests by two lines of valves. During step 5, the textile blind to be cleaned is automatically rolled onto a shaft that can be taken out of the machine. Finally it is dried true to form, entirely rolled out. Fabrics up to a width of 2.5 m can be cleaned, however, special sizes are also possible.

13 Description of Function Systematic successful cleaning Modern sun protection installations are indispensable in offices and public buildings. Their professional cleaning requires the use of adequately specialized cleaning techniques. However, in many cases it is unknown that vertical louvre blinds can be cleaned with good success. Our vertival louvre blind cleaner offers the possibility of professionally working on the complete blind installations, including chains and weights, in one single procedure. For this, the vertical blinds are rolled up installation by installation and are fastened in a special louvre blind container. During the cleaning process, the blinds go through the following washing cycles: prewash, main wash, and rinsing. The continuous lifting and lowering motion of the blind containers free the blinds gently from dirt and bacteria. Damage to the edges or creases in the sensitive blind fabric are thus avoided. Due to the machine s technology, all cleaning factors like water temperature, washing cycle length and use of detergents can be variably adjusted to the quality of the blinds and their degree of staining. 14 SK-1 The professional starter model With our model SK-1 we have managed to develop a vertical louvre blind cleaner that facilitates the user to professionally enter the blind cleaning market. With this machine, up to 100 vertical blinds depending on material characteristics and length can be cleaned in one washing cycle. This machine features temperature, time and lift motion speed regulations as well as a semiautomatic/automatic program control. Besides the time-tested vertical louvre blind cleaning method with lift mechanics, you can also work on plissé blinds, folding curtains, internal Venetian blinds (with a few exceptions), grille lighting fixtures and many other hard objects can be cleaned by a simple adjustment of the tank and the variable addition of ultrasound. 14 Why ultrasound? In the cleaning bath, ultrasonic waves trigger high-frequent, successive compression and decompression phases, which results in high-energy turbulences on the workpiece to be cleaned. Millions of tiny cavitation bubbles forming in the process remove dirt particles. The use of corresponding detergents enhances the intensive cleaning process further. 16 The cleaning principle for ALL blinds currently in the market The subject of value-preserving and environmentally friendly cleaning of sunprotection installations is of increasing importance and is often considered even during the planning stage of buildings with regard to the future facility management. Above all, the professional value-preserving cleaning process has to include the cleaning of the ladder and lift tapes since here a process of decomposition can be triggered by a combination of dirt on the surfaces and UV light. This is also true for the slat surfaces. If the varnish or the eloxate is in perfect condition you may count on an excellent result of the cleaning process. Roller brush detail 16 Our blind cleaning machine LMR 3000 is suited for the washing of any kind of horizontal blinds and many more flat objects to be cleaned. A highly specialized roller brush process, reducing rotational forces to a minimum for each blind due to two vertical roller brushed facing each other, applies all the energy for surface cleaning with a high degree of efficiency. The blinds are treated in the workshop while still mounted, i.e. including lift and ladder tapes. The patented roller-brush principle allows an automated process without the necessity of manual re-work, and is distinguished by gently treating the goods to be cleaned. 18 Cleaning with fully demineralized water Drying without residue! Tap water may contain varying percentages of salts and limescale, depending on the water hardness, that lead to lime residues on the blinds to be cleaned after drying. These stains are especially visible on reflecting surfaces. By using demineralized water, these stains are prevented from forming. Clean water in all cases When using fully demineralized water, after a cleaning or rinsing cycle no dirt or detergent residue will form during the drying process. Fully demineralized water is entirely free of salts, and is produced by ion exchange. Our demineralized water cartridges can be recycled in relation to their capacity. For this purpose, a specialist company will regenerate them. If you require further information, please ask. We are glad to assist. 18 In order for you to be able to check the demineralized water s level of purity, our water cartridges are equipped with an electrical conductance value meter. This can be amended with the corresponding supplementary alarm functions should the need for those arise, which indicate a necessary change of the water cartridges optically or acoustically. 19 General Terms and Conditions of Sales 1. Preamble Our General Terms and Conditions of Sale shall exclusively apply to all contracts between us and our clients. Any differing conditions or terms of buyer are herewith objected to and shall not apply. Any agreement affecting the execution of this contract must be in writing. 2. Offer and conclusion of contract Samples and catalogues are to be considered non-binding material for illustration and/ or test purposes, giving only an approximation of properties and specification.the weight, volume or gage of the goods measured upon shipment is valid. 3. Price of the Goods Prices valid at date of delivery will be applied. We reserve the right to adapt prices, for confirmed orders as well, to reflect any increase in our costs, for any reason beyond our control, like force majeure, shortage of primary material or labor, strikes, official orders, transportation or similar problems, if this increase happens after confirmation of order but before delivery of goods. Our prices are ex works unless stated otherwise and do not include any kind of taxes. 4. Terms of Delivery Confirmed delivery dates are not fixed dates, unless stated otherwise. We reserve the right to postpone delivery in the case of force majeure for the duration of the obstruction plus a reasonable period of recuperation. Should delivery have become impossible by an act beyond our control we reserve the right to partially or completely rescind the contract. Strikes, unforeseeable events or interruptions of operations are considered force majeure, should we have no influence over these events. Failure to comply by a supplier only gives us the right to rescind the contract, if a replacement deal was made and failed to comply. We reserve the right to partial deliveries unless the client has no interest in them. Unless failure to comply or delay of delivery was caused by us, our lawful representatives or auxiliary persons by gross negligence or intentional acts, we will not be liable for noncompliance. Should we be liable under the terms aforementioned, liability is limited to damages that occur foreseeable and typically under the circumstances. Unless agreed otherwise, delivery is made from the seller s premises. Goods travel at cost and danger of client, unless agreed otherwise. 5. Terms of payment Unless agreed otherwise, our invoices are to be paid immediately upon receipt of merchandise and invoice. Should client fail to comply within 30 days, he will automatically be in default of payment. Payment is considered made when it is at our disposal. Detention of payments or balancing of payments against claims of buyer against seller is not allowed, unless these claims are undisputed or legally established. The aforementioned paragraph does not apply to buyers who are neither entrepreneurs nor statutory persons as defined by the German Commercial Code If buyer fails to make payment by due date, without prejudice to any other right or remedy available to the seller, we are entitled to charge the buyer interest on the unpaid amount, as established by 288 Art. 1 BGB German Civil Code in its version legally valid Should there be reasons to doubt the solvency or credit standing of the client, we reserve the right to demand securities or prepayment for any outstanding delivery or declare immediate maturity of all outstanding claims. 6. Retention of Title Notwithstanding delivery or passage of risk in the merchandise, property of merchandise shall not pass to the buyer until full payment of all our claims against the buyer, regardless of their grounds, was made. If merchandise is processed or mixed by buyer with goods that we have no property in, we shall become co-owner of these goods, which shall be stored for us by the buyer. Processing or transformation of the goods is done in our name as a producer, but without obligation to us. Should we loose ownership due to processing or fusion, we will become partial co-owner (value of invoice) of the new product. The client will store the co-owned goods free of charge. These goods are called reserved goods in the following. Buyer has the right to process or sell these goods in the regular course of business, as long as payment obligations are fulfilled. Pledging or cession by security of these goods is not allowed. For safeguard, receivables based either on the sale of these goods or on any other ground (insurance, torts) are considered fully assigned to us. These assigned receivables are released under the condition that their achievable value exceeds the value of our secured receivables by more than 10%. Buyer authorizes us to collect them at his costs, a right that we are obliged not to exercise unless buyer fails to meet his payment obligations towards us or, particularly, institutes bankruptcy proceedings. In the case of bankruptcy or suspension of payment, we have the right to demand that buyer declares the assigned receivables, gives all information and documentation necessary for us to collect our claims and informs garnishee of the assignment. Should third parties try to claim these goods, buyer is obliged to inform them of our property and immediately inform us of the intend. Buyer will be held responsible for costs and damages. This paragraph does not apply to buyers who are neither entrepreneurs nor statutory persons as defined by the German Commercial Code 7. Warranty The buyer, being an entrepreneur in the definition of the German Commercial Code, shall examine the merchandise as required by German law, checking the goods in every aspect, and determine if merchandise is suitable for the intended purposes, if necessary by running appropriate tests. Claims will only be accepted if we are informed immediately upon detection of any fault. In the case of hidden faults claims must be made within 6 month of delivery of Goods. If buyer is neither a entrepreneur nor statutory person as defined by the German Commercial Code, is also required to examine the merchandise and run appropriate tests, if necessary. Claims will only be accepted if we are informed no later than two weeks after receipt of merchandise, or within 6 month in the case of hidden faults. If any valid claim of faulty merchandise is made, we are obliged to either replace the merchandise free of charge or repair it, the choice being at our sole discretion. Buyer may chose reduction of price or cancellation of contract, should our efforts fail. In case of lack of a warranted property of the merchandise, we shall be liable for damages on the grounds of noncompliance as stated in 463, 480 article 2 of the German Civil Code. We will not be liable for any consequential damages caused by any defect or fault in the merchandise, since the object of the warranty is compliance of the delivered merchandise with the contract. The warranty does not cover damages to the goods that were caused by improper handling or storage after the passage of risk or where caused by external factors that were not foreseen in the contract. We will be liable according to German law if damages occur due to gross negligence or deliberate acts by us, our lawful representatives or auxiliary persons. If the violation of contract was not caused by an intentional act, liability will be limited to foreseeable and typical damages. Furthermore, we will be liable according to German law should we deliberately violate any essential duty under the contract. Any further liability is excluded, expressively for any kind of damages that occur on anything or in any way other than on the delivered merchandise itself. Binding provisions of the German Product Liability Law remain unaffected. Our contracts are governed exclusively by German Warranty and Product Liability laws. The application of any law other than the Product Liability Law of the Federal Republic of Germany is expressively excluded. 8. Technical Advises Our technical advises are given according to our best knowledge and experience. Buyer is obliged to apply due diligence in verifying applicability of our advice to his special conditions of production or application. Concerning our technical advises, which are given free of charge, we will only be liable for damages caused by gross negligence or deliberate acts from our part or by our lawful representatives or auxiliary persons. Unless intentional violation of contract has been proven, we will only be liable for damages that occur foreseeable and typically. 9. Liability clause Liability for damages is strictly limited to the provisions made herein in paragraphs 5,6 and 7, regardless of their nature, particularly with regard to damage claims arising from fault at closure of contract, default at performance of contract or torts according to 823 ff of the German Civil Code. Claims for damages due to impossibility or incapability remain unaffected. The same goes for liabilities that are imperative according to the provisions of the German Product Liability Law. Exclusion or limitation of from our side also includes exclusion or limitation of liability of our employees, representatives and auxiliary persons. 10. Miscellaneous Clauses Place of execution and place of venue is Stuttgart, Germany. We reserve the right to sue at buyer s place of business. These General Terms and Conditions of Sales, as well as all our business relations with our clients, are governed exclusively by the Laws of the Federal Republic of Germany. Application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressively excluded Please note that some of our goods might require exportation license under German law or might be subject to export restrictions of the USA or under the Nonproliferation treaty. These provisions are to be observed by the buyer in case of sale or exportation of the goods. 11. Salomonic Clause Should one of the clauses above or part of one of the clauses above be legally invalid, validity of the other clauses of these General Terms remains unaffected 19
