2 Pg 2 of 6 and 105(a) for Authority to Reject Certain Executory Contracts Related to the VC Summer Project [ECF No. 1099] (the Motion ). On August 17, 2017, South Carolina Electric & Gas Company and South Carolina Public Service Authority (together, the VC Summer Owners ) filed the Response by South Carolina Electric & Gas Company and South Carolina Public Service Authority to Omnibus Motion of Debtors Pursuant to 11 U.S.C. 365(a) and 105(a) for Entry of Order Authorizing Debtors to Reject Certain Executory Contracts Related to the VC Summer Project [ECF No. 1172] (the Objection ), requesting that the Court deny the Motion or continue the Motion to provide the VC Summer Owners with sufficient time to make a decision regarding which subcontracts, vendor agreements, and purchase orders should be assumed and assigned. See Obj. 32. On September 6, 2017, with the consent of the VC Summer Owners, the United States Bankruptcy Court for the Southern District of New York (the Bankruptcy Court ) entered an Order Pursuant to 11 U.S.C. 365(a) and 105(a) Authorizing Debtors to Reject Certain Executory Contracts Related to the VC Summer Project [ECF No. 1321] (the Order ). The Order granted the Motion with respect to certain executory contracts only. The Objection remained outstanding with respect to all other contracts referenced in the Motion. Pursuant to the Order, [w]ithout further order of the Court, the Debtors may consensually resolve any Pending Objection prior to the Hearing. If a Pending Objection is resolved, the Debtors are authorized to reject the applicable Rejected Subcontract, and the provisions of this Order shall apply; provided that the Debtors shall file on the docket a notice of any resolution of Pending Objections after entry of this Order. Rejection Order 7. On September 22, 2017, the Debtors filed the Notice of Partial Resolution of Pending Objection to Omnibus Motion of Debtors for Authority to Reject Certain Executory 2 WEIL\ \1\

3 Pg 3 of 6 Contracts Related to the VC Summer Project [ECF No. 1391], notifying parties that the Debtors had partially resolved the Objection and the VC Summer Owners had withdrawn their Objection with respect to the executory contracts annexed thereto as Exhibit A. PLEASE TAKE NOTICE that the Debtors have further partially resolved the Objection and the VC Summer Owners have withdrawn their Objection with respect to the executory contracts annexed hereto as Exhibit A. Accordingly, pursuant to the Order, the contracts listed on Exhibit A hereto have been rejected. PLEASE TAKE FURTHER NOTICE that in accordance with section 3 of the Order Pursuant to 11 U.S.C. 502(b)(9), Fed. R. Bankr. P and 3003(c)(3), and Local Rule (I) Establishing Deadline for Filing Proofs of Claim and Procedures Relating Thereto and (II) Approving Form and Manner of Notice Thereof, entered on June 28, 2017 [ECF No. 788], counterparties to the contracts listed on Exhibit A hereto must file a proof of claim for claims arising from the rejection of such contracts within 30 days following the date hereof, by December 13, 2017, or they will be barred from doing so.
