For your review, I have included in this packet a breakdown and description of recommended landscape management services. 5 Michael Hatcher & Associates proposes a comprehensive landscape management package including services throughout the year as follows: Growing Season Service (Weekly May-September as Needed, biweekly April and October) Mowing Services Turf grass areas will be cleared of debris and mowed to the appropriate height for the turf species weather permitting and as conditions dictate. Clippings will be returned to the turf contributing organic matter and mineral nutrients to improve soil conditions. String trimming will be performed around buildings, mulched beds and landscape structures to maintain a neat appearance as needed. Hard surfaces will be cleanly edged as needed Hard surfaces will have grass clippings and debris removed after each mowing Turf will be monitored for the presence of pests, disease and fungus and will be treated as necessary upon approval of authorized designee and billed separately Horticultural Services Trees, shrubs and groundcovers will be pruned or shaped as required. Shrubs will be thinned out to manage plant growth while maintaining a correct horticultural appearance. Rejuvenation pruning of incorrectly pruned or overgrown shrubbery is not included in the base service agreement but can be scheduled as an additional service. Plant material requiring shearing will be sheared approximately 4 times per year. Trees will be monitored throughout the year to ensure they do not block walkways or lines of sight. Vines on buildings or landscape structures will be trimmed to a height of 15 feet. Any service above this height will be provided at additional cost with your approval Neither large forest-type nor trees over 15 feet, nor major storm damage pruning or debris removal are a part of the contract but can be performed as an additional service and billed separately.

6 Suckers on trees and dead limbs on trees less than 15 feet will be removed as needed. Bed areas will be hand weeded as necessary. A non-selective herbicide will be used to kill weeds in sidewalk cracks and as a directed spot treatment for weeds in bed areas. Shrubs and ornamental trees will be monitored for pests, fungus and disease and will be treated as necessary upon approval of authorized designee and billed separately. Leaf and Debris Removal Leaves, trash and debris will be removed from lawn and bed areas as needed. Note: There may be an additional charge for the removal of limbs exceeding 2 in diameter. Leaf Season Service (Bi- Weekly November through December) Mowing Services (As described above if necessary) Seasonal Horticultural Services (As described above if necessary) Leaf and Debris Removal per Visit Dormant Season Service (Bi-Weekly, January) Seasonal Horticultural Services (As described above if necessary) Leaf and Debris Removal per Visit Spring Cleanup Service (Bi-Weekly, February and March) Seasonal Horticultural Services required to prepare the landscape for the growing season (i.e. liriope cut back, ornamental grass and tree pruning, winter kill removal, thinning, shaping, turf grass scalp, etc.)

7 Turf and Bed Application Program Turf areas will receive three wall-to-wall herbicide treatments to inhibit the growth of grassy or broadleaf weeds. Turf areas will be fertilized three times annually to improve appearance and to help withstand drought and other stresses. Post-emergence herbicides will be used as necessary to control weeds that have emerged in turf areas. Note: While all applications include spot treatments to treat weed outbreaks, some perennial weeds considered noxious (i.e. nutsedge, dallisgrass, Virginia buttonweed) may require specialty herbicides or repeat applications outside the scope of our standard program and will be proposed and billed separately Lime or sulfur applications will be recommended depending upon the soil test PH results. Shrubs, groundcovers and ornamental trees will be fertilized annually Bed areas will be treated three times annually with a pre-emergence herbicide to restrain the growth of weeds that compete for moisture and nutrition. Michael Hatcher and Associates will assume no liability for injuries caused by fire ants or any other animal or insect. Mulch All planting beds and tree wells will be mulched 1 time per year to maintain a covering of 2 inches. Additional mulching during the year will be considered an extra service and invoiced according to the owner s request. Annual Color At this point there will be NO annual color installation because there is no active irrigation. Additional trays of color shall be priced at $40.00 installed for basic bedding plants and adjusted up for premium species.

8 Irrigation Management Spring Start-up and Winterization (Early Spring, Mid Fall) There is no present irrigation system at this property. Monthly System Service (5 checks between April and November) There is no present irrigation system at this property.

10 Landscape Management Proposal For The Laurelwood Subdivison HOA 530 Ridgeview South Hernando, MS July 31, 2013 Consideration for the landscape management services described above is $5, per year, billable in 12 monthly payments of $ TERMS: This proposal is based on the conditions present in the landscape at the time of presentation. Should the proposal be accepted after excessive growth of plants, turf or weeds, it may be necessary to adjust the price to accommodate excessive start-up cost. Payments for services are due and payable within the terms of the invoice (net 30 days from date of invoice). No finance charges will be imposed if the total of such invoice is paid in full within the stated terms. Acceptance of this proposal will mean that this is a 12-month service agreement (subject to termination by either party upon thirty (30) days prior written notice) and will be billed monthly. If the agreement is cancelled after work has commenced, the billing will be prorated based on work already performed and materials used. Agreement will automatically renew on a month-to-month basis until both parties agree upon different terms. The Owner shall secure, defend, protect, hold harmless and indemnify the Contractor and any of their respective agents, servants and employees against any liability, loss, claims, demands, suits, costs, fees and expenses whatsoever arising from bodily injury, sickness, disease (including death resulting there from), of any persons, or damage or destruction of any property, including loss of use, arising out of or in connection with the performance of any work relating to this agreement, including extra work assigned to the Contractor, based upon any act or omission, negligent or otherwise, of (a) the Owner or any of its agents, employees or servants, (b) any subcontractor, subsubcontractor, supplier or material men of the Property Owner or any agents, employees or servants thereof, (c) any other person or persons. The obligations of indemnification contained herein shall exclude only those matters in which the claim arises out of the sole negligence of the Contractor or any of their respective agents, employees or servants. In the event of any litigation between the parties, the prevailing party is entitled to reimbursement from the other party as to the cost of such services and expenses, including reasonable attorney fees.

11 GENERAL SPECIFICATIONS: Scope: Contractor shall furnish all materials, tools, equipment and labor necessary to execute the attached proposal in a substantial and workman like manner. Description of Work: The work contemplated by the specifications and conditions consists of furnishing all labor, materials and equipment necessary to perform all work as herein specified unless specifically deleted. Hours of Work: Work will be performed between 7:00 am and 5:00 p.m. Monday thru Friday unless previous arrangements have been made. Deviations: If any deviations from the specifications are found necessary or desirable, they must be approved by the manager or designated representative. Examination of Site: The contractor shall visit the site to fully acquaint himself with construction and labor conditions so that he may fully understand any and all restrictions concerning the execution of the work under contract. Revision: This proposal is based on the conditions present in the landscape at the time of presentation. Owner s Responsibility: Unless otherwise stated in writing, it is the owner s responsibility to supply the water for plant materials, lawns, etc., and provide reasonable access to areas covered by this contract. Unavoidable Interruptions: Contractor shall not be held responsible or liable for any loss, damage or delay caused by weather, strikes or any other causes beyond our control. Damage: Contractor will not assume responsibility for damage done to any type of underground object, including all utilities unless their location is designated prior to the commencement of work.
