17 AMERICAN GAS ASSOCIATION ANTITRUST COMPLIANCE GUIDELINES Introduction The American Gas Association and its member companies are committed to full compliance with all laws and regulations, and to maintaining the highest ethical standards in the way we conduct our operations and activities. Our commitment includes strict compliance with federal and state antitrust laws, which are designed to protect this country s free competitive economy. Responsibility for Antitrust Compliance Compliance with the antitrust laws is a serious business. Antitrust violations may result in heavy fines for corporations, and in fines and even imprisonment for individuals. While the General Counsel s Office provides guidance on antitrust matters, you bear the ultimate responsibility for assuring that your actions and the actions of any of those under your direction comply with the antitrust laws. Antitrust Guidelines In all AGA operations and activities, you must avoid any discussions or conduct that might violate the antitrust laws or even raise an appearance of impropriety. The following guidelines will help you do that: Do consult counsel about any documents that touch on sensitive antitrust subjects such as pricing, market allocations, refusals to deal with any company, and the like. Do consult with counsel on any non-routine correspondence that requests an AGA member company to participate in projects or programs, submit data for such activities, or otherwise join other member companies in AGA actions. Do use an agenda and take accurate minutes at every meeting. Have counsel review the agenda and minutes before they are put into final form and circulated and request counsel to attend meetings where sensitive antitrust subjects may arise. Do not, without prior review by counsel, have discussions with other member companies about: your company s prices for products, assets or services, or prices charged by your competitors costs, discounts, terms of sale, profit margins or anything else that might affect those prices the resale prices your customers should charge for products or assets you sell them allocating markets, customers, territories products or assets with your competitors limiting production whether or not to deal with any other company any competitively sensitive information concerning your own company or a competitor s. Do not stay at a meeting, or any other gathering, if those kinds of discussions are taking place. Do not discuss any other sensitive antitrust subjects (such as price discrimination, reciprocal dealing, or exclusive dealing agreements) without first consulting counsel. Do not create any documents or other records that might be misinterpreted to suggest that AGA condones or is involved in anticompetitive behavior. 23 ACCREDITED STANDARDS COMMITTEE ON NATIONAL FUEL GAS CODE, Z223 SCOPE: Development of a safety code for gas piping systems on consumers premises and the installation of gas utilization equipment and accessories for use with fuel gases such as natural gas, manufactured gas, liquefied petroleum gas in the vapor phase, liquefied petroleum gas-air mixtures, or mixtures of these gases, including: a. The design, fabrication, installation, testing, operation and maintenance of gas piping systems from the point of delivery to the connections with each gas utilization device. Piping systems covered by this code are limited to a maximum operating pressure of 125 psig. For purposes of this code, the point of delivery is defined as the outlet of the meter set assembly or the outlet of the service regulator or service shutoff valve where no meter is provided. b. The installation of gas utilization equipment, related accessories, and their combustion air and venting systems. 49 ASC Z223 NFPA 54 COMMITTEE ON NATIONAL FUEL GAS CODE Minutes ASC Z223 / NFPA 54 National Fuel Gas Code Committee Hyatt Regency San Francisco Airport San Francisco, CA October 13-15, Call to Order, Self-Introductions & Attendance: Chair, Tom Crane, called the meeting to order and members and guests introduced themselves. (Attachment A). 2. Adoption of Agenda: The agenda was approved as distributed. 3. Announcements: Participants were made aware of the fire alarms/exists and the AGA and NFPA antitrust guidelines. 4. Membership Review: a. ASC Z223 Committee Updates The membership roster and interest category balance was reviewed. The committee is in balance in accordance with its operating procedures. The Secretary will be asking NFPA 54 members, not currently on the ASC Z223, to consider joining the committee and will conduct a letter ballot for those members. Membership on both committees help coordinate the two committee activities and help ensure that AGA and NFPA publish consistent code versions. b. NFPA 54 Committee Updates The membership roster was reviewed. The NFPA Standards Council is responsible for maintaining committee balance and was noted that it is in balance. 5. Approval of Committee Meeting Minutes: The November 2014 full committee and September 2015 Advisory Panel minutes were approved as distributed. 6. Future Meeting Schedule: The proposed meeting schedule was reviewed without changes (Attachment B). 7. NFPA Revised Process and NFPA Research Foundation Presentation: Laura Montville provided an overview of the revised NFPA process and the NFPA Research Foundation. 8. Consideration of Public Input and Committee Input: The committee reviewed and took action on the public input considering the advisory panel recommendations. The committee actions will be the standing action (Summary - Attachment C) on the letter ballot scheduled to be conducted early January Approved actions will form the first revision draft and will be placed out for public review. 9. Task Group Report: The Biogas Task Group s charge is to determine if the scope of the NFGC could be expanded to include piping systems and equipment designed for use with biogases. The NFGC Task Group members are Swiecicki (Chair), Caudle, Gress, and Holmes. The Task Group submitted a research project request (Attachment D) to the NFPA Research Foundation seeking funding. The request is to determine the current sate of the art with respect to biogas quality standards used around the world. The Foundation ranks all such requests from NFPA project committees and that ranking determines if a project gets funding. The Biogas request did not receive a high enough ranking to receive funding. The Biogas Task Group will remain active for future activities. 49 Draft 11/23/15

50 ASC Z223 NFPA 54 COMMITTEE ON NATIONAL FUEL GAS CODE 10. Other Actions: a. A Pressure Definition Task Group was created to address the various pressure definitions and determine how the NFGC can best define the pressures defined within the NFGC. Members are: Mike Gorham (Chair), David Berning, Ted Lemoff, and Franklin Switzer. The task group is requested to consider public inputs No. 189, 188, 190, and 191 as part of their task. b. Staff is requested to provide the reissued GTI CSST report (Oct 12, 2015, rev-a) to the committee. This report replaces the September 2013 version, which was posted on the NFPA 54 website. The reissued report corrects typographical errors within two data tables and does not alter the report s findings. Secretary Note: The reissued report is available on the NFPA 54 website. c. The Equipment Panel s recommendation to revise their panel name to the Appliance Panel was approved. d. One new agenda item is added to the Appliance Panel agenda. A review of the term permanent in regards opening in chapter 9 s combustion opening coverage to determine if a clarification is needed for openings equipped with adjustable and fixed louvers. 11. However, there currently are concerns about burning biogas in appliances because of its varying energy content and a lack of knowledge of its properties, such as corrosiveness and density that would need to be identified prior to writing a code or standard to address its use. 3) Research Objective (One or two sentences addressing What is needed to solve the problem? Examples include: Develop guidance for a specific issue, Determine effectiveness of current code/standard requirement): We need to determine the current state of the art with respect to biogas quality standards currently used in the world. This information will help the National Fuel Gas Code Committee determine whether or not to pursue writing code text to address the use of biogas in the National Fuel Gas Code. 4) Project Description (One or two paragraphs on study design & expected tasks. Project tasks can include literature reviews, data collection, loss summaries, field usage surveys, code comparisons, statistical analysis, computer modeling, hazard analysis, risk assessments, fire testing, recommendation development, and gap identification.): This project would begin by conducting a literature review to identify the current state of the art with respect to biogas. It would include identifying all the known standards related to biogas specifications and handling and assessing the success of efforts to implement biogas around the world. After that, it would be necessary to determine the feasibility of including requirements for biogas in the National Fuel Gas Code. 5) Data Collection (If data collection is part of the project scope, does data exist? If data exists, is it available to be used in the study? Please identify potential data sources.) There are various standards on biogas that are used in different countries of the world. Washington, D.C Re: Regular ANSI Audit Report Dear Mr. Cabot Please find enclosed the report of audit of ASC Z223 and ASC Z380 conducted by Leslie Block in February Please respond to each of the non-compliances and the corresponding recommendations identified in section 8 of the audit report. In accordance with clause 6.4 of the ANSI Auditing Policies and Procedures, you are required to provide ANSI with any comments, plans, and timetables for corrective action within 30 days of receipt of this letter or request an extension from the Director of the ANSI Standards Developer Audit Program if you cannot meet this deadline. In addition, please provide your response and any attachments in electronic format. In accordance with Clause 12 of the ExSC Operating Procedures, a list of affiliations of the members of the Executive Standards Council is provided for your information. Clause 12 states that Typically a potential conflict of interest arises when a member of the ExSC participated in activities integral to the particular issue under review or that person is employed by, or a member of the governing body of, the relevant standards developer or other entity as applicable. Similarly, a conflict of interest usually does not exist by virtue of the fact that a member of the ANSI committee participated in the development of standards by a particular standards developer or is a member of that standards developer. In connection with the implementation of the ExSC's Conflict of Interest procedures, I have provided a current ExSC roster for your information and review. Please review the list and let me know if you believe that any member has a conflict of interest. If you assert that a member of the ExSC has a conflict of interest, you are required to state the reason(s) for your belief. A member (or his/her employer) of a reviewing body having a conflict of interest with the auditee shall not be allowed to receive or review a copy of the audit report and will not be allowed to participate in the discussion of the audit unless otherwise agreed to by the auditee. The conflict of interest procedures applicable to the reviewing body shall apply. The audit report and any comments received will be provided to the ExSC for their review and determination in accordance with clauses and of the ANSI Essential Requirements. 76 As part of the audit process, the auditor makes suggestions with the intent to recommend improvements to the operation of ASC Z223 and ASC Z380, and do not in any way indicate that ASC Z223 and ASC Z380 are in non-compliance with the ANSI Essential Requirements. The suggestions may not be feasible or practical for ASC Z223 and ASC Z380 to implement. They are intended only as suggestions and will be left to the discretion of ASTM to accept any or all of them. There is no need for ASC Z223 and ASC Z380 to respond to any of these suggestions. These suggestions can be found in an attachment to this letter. 77 Attachment B List of Suggestions for ASC Z223 # Suggestion Text 1 7 The auditor suggests that ASC Z223 consider revising its procedures as follows: 1a 7B Revise Section to add less abstentions, which is stated in Section , but should be included in the language regarding ASC Z223 s 1b numerical consensus requirements. 7C Revise Section to add specific criteria or metrics to define poor participation. 1c 7 Revise Section 8.7 to add that ASC Z223 will notify ANSI in the case where a standards project is discontinued. 1d 7 Revise Section to state that ASC Z223 will provide the requestor with the interpretation response in writing. 2 7 The auditor suggests that ASC Z223 consider incorporating its Antitrust Policy into its accredited procedures. Having all of the policies and procedures required by ANSI in one document eliminates confusion as to identifying the most recently approved version of a policy or procedure, and provides easy reference to currently applicable requirements. 3 7 The auditor suggests that ASC Z223 consider adopting in its procedures statements that it will adhere to the current version of ANSI s Commercial Terms and Conditions Policy and Antitrust Policy. In this way, ASC Z223 would be in compliance with the ANSI requirement to have the required policies, but would not need to revise its policies and procedures with each change in the ANSI policies. 4 7D The auditor suggests that ASC Z223 consider whether it wants to allow technical appeals. The ANSI Essential Requirements require only that standards developers allow procedural appeals, and it is within the developer s prerogative whether to allow technical appeals. 5 7D The auditor suggests that ASC Z223 revise ASC Z223 s Appeals Policy to provide that the appellant will receive a copy of the appeals decision in writing. 6 7 The auditor suggests that ASC Z223 consider including an explanation of the ANSI and ASC Z223 standards development and approval processes on the AGA web site. 7 The auditor suggests that ASC Z223 consider exploring additional ways in which electronic media, including online voting, can be used in the standards development and approval process. The use of electronic media can increase the efficiency and reduce the cost of the standards development process. 8 7 The auditor suggests that ASC Z223 may wish to provide training to volunteers on key requirements of consensus processing. Training is beneficial to the participants and can assist in ensuring that the requirements for obtaining consensus are met efficiently and effectively. 9 The auditor suggests that ASC Z223 develop a one- or two-page guideline to be used for training staff members who may be assigned responsibilities for following ANSI requirements in development of ASC Z223 standards. 78 internal guidelines will assist in the implementation of the standards development process and can assist in the reduction of errors and inefficiency potentially caused by staff turnover The auditor suggests that AGA participate on the ANSI Organization Member Forum ( OMF ). Participation is a benefit of ANSI membership and will provide ASC Z223 with an opportunity to provide input into proposed changes in ANSI policies and procedures and to have advanced information of these changes for implementation. The OMF typically allows participation via teleconference. 11 The auditor suggests that ASC Z223 consider developing a one- or two-page summary of development of each standard that indicates very briefly how the project proceeded, when the various procedural actions were taken and in which file relevant information can be found, as an aid to external or self-audit activities and training purposes. 78

The auditor found areas of non-compliance and procedural concern. The following recommendations are made to address these non-compliances and procedural concerns: i) The auditor recommends that ASC Z223 revise ASC Z223 s Procedures and provide a copy to ANSI to initiate the reaccreditation process as the auditor found that substantive changes are required to bring those procedures into agreement with the currently applicable ANSI Essential Requirements. The specific recommended revisions are: ii) a. Revise Section to state that Standards Action comes out weekly. b. Revise Section to add and rationale after results; c. Revise Section to add in writing after notify with regard to the right to appeal; d. Revise Section to state that unresolved objections, along with attempts at resolution, will be provided to the committee in order to afford them the opportunity to respond, reaffirm, or change their vote; e. Revise Section 8.0 to correspond with NFPA s current standards development policy; f. Revise Section to state that public review commenters will receive a written disposition of their comments with the reasons therefore; if the comments remain unresolved, the commenters will be informed in writing of the right to appeal; g. Revise Section to add that unresolved comments from ANSI public review along with attempts at resolution will be recirculated to the consensus body to give them the opportunity to respond, reaffirm or change their vote; and h. Revise the Patent Policy compliance statement in Section 12.0 to add the words most current version before ANSI Essential Requirements. The auditor recommends that the non-compliances listed in this audit report be reviewed at the next scheduled audit to verify that corrective action was taken. 9.
