25 Composition of the Bidder Single Entity Or NewCo* (up to 3 Members) Or Joint Venture (up to 3 Members) Each Bidder / Member / Related Entity / Major Sub-Contractor may participate in only one Bid. *NewCo = up to 3 Members forming a new corporate entity for the specific purpose of this tender 25

26 Main Contractual Entities Lead Member Lead Member shall mean a Member holding a share of at least 51% of the Holdings in the Bidder Related Entity Relationship with any of the Members, based on Control (will be presented in the next slides) Major Subcontractor Entities, not Members of the Bidder, with the experience required to demonstrate compliance with the Professional Threshold Requirements; and The Bidder shall engage these entities for the execution of the respective part of the Works 26

29 Composition of the Bidder Bidder and any Member may seek to rely on the professional experience of a Related Entity Control over Bidder/Member Or Controlled by the same entity controlling Bidder/ Member Or Controlled by the Bidder/Member (except a Wholly Owned Subsidiary) 29

30 Related Entity Each of the four Professional Threshold Requirements may be demonstrated by a separate Related Entity The Related Entity is to comply with all Requirements of the Threshold Requirement (e.g. one Related Entity to demonstrate all requirements of the Power and Catenary Systems Experience Threshold), similarly to the demonstration by the Bidder, a Member or a Major Subcontractor The Related Entity shall be responsible for the execution of the part of the applicable Works, respectively to the demonstrated experience. 30

31 Attribution of Experience In these cases the experience of another entity will be wholly attributed to a demonstrating entity: A Wholly Owned Subsidiary An Absorbed Company An entity part of a JV 31

32 Wholly Owned Subsidiary A Wholly Owned Subsidiary is a corporate entity which 100% of its holdings are held by the demonstrating entity The professional experience of a Wholly Owned Subsidiary is deemed to be that of its parent company A Wholly Owned Subsidiary is not considered a Related Entity and is not required to fulfill such role or to submit forms as a Related Entity A demonstrating entity may rely on the experience of any number of Wholly Owned Subsidiaries to demonstrate a Threshold Requirement 32

46 Financial Threshold No Going Concern Each Member of the Bidder is not under any voluntary or involuntary bankruptcy process (liquidation or reorganization), or receivership or commencement of a similar insolvency proceeding, and its last Financial Statement does not include any Going Concern notice Any entity which demonstrates any of the Professional Threshold Requirements shall also comply with the No Going Concern requirements, and submit its last Financial Statement. 46
