(a) Tree similar completed works eac costing not less tan te amount equal to 40% of te estimated cost. Or (b) Two similar completed works eac costing not less tan te amount equal to 60% of te estimated cost. Or (c) One similar completed work costing not less tan te amount equal to 80% of te estimated cost. (ii) Te tenderer sould ave a minimum of tree years experience in AMC/CMC works of Fire Figting & Fire Alarm works services in a reputed Firm or Company or Establisment or government departments. (iii) Preference will be given to registered license agencies aving experience in te field of AMC/CMC works/ Construction of Fire figting & fire suppression works/related work nature at CPWD/ State Govt. PWD/ Semi Govt./ Autonomous Bodies/ PSUs/ MES/ Fire Dept.) (iv) Experience of aving satisfactorily successfully completed similar works suc as AMC/CMC Works, Documentary proof for above sall be produced along wit te tecnical bid. Documentary proof for above sall be produced along wit te offer, failure of wic te offer may be disqualified. 11 General Instruction All te documents submitted along wit te bid are to be self attested. Potocopies must be legible and signed and stamped by autorized signatory, oterwise te bid is likely to be rejected. Agency / Firm already debarred/ blacklisted by any of te ESIC, Government Institutions / Office anywere in India need not apply & will be summarily rejected during te black listed / debarred period. 12 Scope of Work Te scope of work mainly consists of job of safety, fire prevention & protection, fire figting and scedule & general maintenance of safety equipment & fire figting facilities installed at ESIC Super Speciality Hospital, Sanatnagar. Te Contractor is required to perform te Compreensive maintenance contract of Fire Figting & Fire Alarm Works as per te guidelines of Page 4 of 38

5 manufacturer & maintenance jobs sall be carried out as per instruction of Engineer in-carge. 13 Bid/Tender Validity Te prices quoted sall remain valid for 90 days from te date of opening of te Bid and in respect of accepted bid te prices quoted sall remain valid for 90 days. 14 Performance Security Money Te bidder sall furnis performance security for an amount equal to 10% of contract value by Demand Draft/Bank of Guarantee in favour of ESI Fund A/C. No 1, Payable at, Hyderabad. Te performance security can be encased by te Purcaser to recover any amount wic is payable by te contractor to te Purtcaser on any account for a cause arising out of te contract. 15 Annual Turnover Te average Annual turnover of te agency must be more tan tan Rs Lak (Rupees Twenty Lak only) during previous financial years viz , and Pre Bid Meeting Pre bid meeting will be eld on at 2:00pm. 6 ANNEXTURE-B-I SCOPE OF WORK 1. Te bidder/agency wic is selected after tender process will ave to undertake Repair/Maintenance (Planned Preventive Maintenance) of te Fire Alarm System & Fire Figting System on regularly montly basis. 2. Break downs, if any, sall be attended by te agency witin 24 ours of lodging of complaints. 3. Te agency sall always keep te Fire System/Pump Room site neat and clean. 4. All materials provided by te agency sould be eiter BIS certified or sould be certified by te agency designated for te purpose by appropriate Government. 5.Wenever te agency sends any person (Tecnician/Engineer) to attend te complaint/rectification, suc person sall sign in a log book maintained for office records. 6. Electrical Engineers/Fire Officer sould be available at site wenever required. 7. Uniform, Identity Cards, Name Plates and identity cards ave to be provided to eac and every Staff by te contractor, if any. 8.All Tools and equipments to carry out te Fire work at site are to be provided by te Contractor free of cost. 9. Te agency sall depute teir supervisor in working site to meet Dean/Medical Superintendent/Deputy Medical Superintendent/ Deputy Director/Assistant Director/OS/ESIC Engineer in carge/care Taker for any official purpose. 10. All materials or any part(s) of Fire system wic is required to be replaced sall be from te same manufacturer/ supplier wo as provided te original equipments/parts. 11. Te agency sall undertake te maintenance of Pump Room Diesel Generators Set at least once in a quarter. 12. Te agency sall do te Fire Mock Drill of Fire System at least once in a Quarter. 13. Te agency sall also train te ousekeeping & maintenance staff deployed for firefigting job, in addition to tis, te agency sall provide training to Staff & Officers of ESIC Super Speciality Hospital, Sanatnagar, and Hyderabad Te agency sall ensure tat Fire Department provides te NOC/Renewal of Fire system to te Super Speciality Hospital. 15. Montly inspection of te entire extinguiser including cecking teir tubes, discarge, ose pipes, nozzle, clamp etc. cecking of weigt for loss of mass in gas type extinguiser and to keep a record of te same. 7 16. To ensure proper operation & maintenance of safety and firefigting equipment installed and carry out te fire figting/ rescue operation in case of fire or accident inside te complex area. 17. Service report and register must be got signed after every service by te engineer in carge designated by te ESIC for suc purpose. 18. To perform any additional special tests as required by te local fire codes. 19. Report any incidence of breakout of fire in te form of fire record to PCRA (Petroleum Conservation Researc Association). 20. To organize and impart training to te occupants of building in First Aid, Fire figting, using Fire Extinguiser and building evacuation during emergency situation. 21. Call fire brigade in case of break out of Fire and provide assistance to fire service/fire Figters in case of breakout of Fire. 22. Fire Extinguiser (Co2 Type, ABC Type, and Foam Type):- Pressure is at recommended level or not. Nozzle, Pipe or oter discarging pats are not indered in any way. Te pin & tamper seal are intact. Ceck full weigt (Quarterly basis). Saking of dry powder type to prevent powder from setting /packing. Certification of all types of fire extinguiser following its inspection, maintenance/refilling etc. To arrange for proper placement of extinguiser after inspection/ maintenance/ refilling and/ or subsequent to its use during fire drills/demonstration etc. To maintain record/istory card of inspection and maintenance done on eac extinguiser. 23. Fire Hydrant: Fire water network including ydrants and water monitors. Montly discarges test from at least one external ydrant and one internal ydrant (Preferably from top floor or terrace) by attacing single lengt of fire ose, wit nozzle to ceck automatic starting of pump wit ydrant operation. 24. Hydrant Wet Riser System: Visual /Pysical Ceck:- weekly to ceck wasers, couplings, valve logo weel ceck nuts etc. montly visual ceck of Hose/Hose Box for any damage rot/rust etc. Montly ose reel by actual actuation. Pump / Jockey Pump:- Weekly pysical ceck/ greasing of nipples. Automatic start: - Montly ceck to test automatic start of Jockey Pump at present pressure and auto stop of Jockey Pump at present pressure. 25. Pumps and Control: Page 7 of 38

8 Starter contacts cleaning twice a mont. Insulation resistance test of pump, motor circuit etc. Any oter inspection as contained in manufacturers literature for pumps & controls. 26. Fire detector and alarm: Montly visual ceck of eac detector. Quarterly cleaning of smoke /eat detector (removal of dirt, if any) Quarterly actuation of smoke detector by turn at least one detector in eac floor to be subjected to test. Circuit test/panel test for fault and fire condition every mont, for fault test and every quarter for fire condition. Manual test of public address system. 27. Fire Detection, Suppression & Protection System Fire Detection, Suppression & Protection System comprise of fire alarm system, smoke detectors, fire extinguisers, sprinklers, wet riser system wit fire ydrants (at eac floor & around te building on te ground floor), fire doors, fire evacuation plan wit signage, fire escape etc. and tese are provided in te buildings as per extant provisions of National Building Code (NBC) & Local Bye Laws so tat te building is free from any fire azard. Proper maintenance of all electro - mecanical installations in te building is an essential part of fire safety precautions as suc tese sould be cecked, inspected and tested periodically in accordance wit relevant extant provisions of BIS / NBC / CPWD specifications to ensure teir full functionality and operational readiness at all times. Prominent display of te following relevant information at strategic locations is indispensible from fire safety considerations : External board (preferably illuminated) to indicate fire pump room. Painted boards in fire pump room and control room, indicating telepone numbers and names of engineers, nearest Fire brigade station, nearest Super Speciality Hospital etc. Marking of fire lift at eac landing and also te floor numbers and of locations of main switcgear / substation for ready identification. Locations of internal ydrants by illuminated sign boards, if te same are not readily identifiable from te main lobby areas. Painted board at eac floor lobby indicating important instructions and fire escape to te occupants as part of full proof evacuation plan in te event of fire in te building. Proper upkeep of maintenance records is very important. Log books are to be maintained to record te log readings suc as pressure, current, voltage, operating (testing) periods etc. Maintenance register sould indicate actual compliance to te maintenance scedule item wise. Major repairs or Page 8 of 38

9 replacements sould be recorded in te istory book for future referencing. Note te belt size, lubricant oil brand name and grade and similar particulars of oter suc consumables in te front page of maintenance register for engine and pumps so as to ensure tat only te materials of proper quality is used in maintenance. Batteries ave certain limited life (3 or 4 years) and it also depends on te usage and rates of carging / discarging etc. Te voltage readings give a fair indication in tis regard. Ceck wit manufacturer concerned before deciding on replacement. Daily routine cecks Certain periodicities ave to be finalized for various maintenance activities on components like fire detectors, control panels, ydrants etc. In order to acieve compliance to tese prescribed periodicities, eac of tese components may be divided into convenient numbers to carry out te respective activities. For example, if all control panels are to be cleaned weekly and tere are 10 suc panels, 2 panels may be cleaned every day in sequential order so tat all te 10 panels are cleaned once a week. Tis sould be programmed in advance to avoid inconvenience. Every maintenance operation involving operation of sounders in te building sould be done after displaying notice in advance to te occupants so as to avoid panic during testing. Keep te pump room dry as wet flooring may turn slippery, invite growt of mosquitoes and cause an unealty environment. Clean te pump room. Wipe out dirt from external surface of equipment & ensure tat te approac to pump room and ventilation openings in pump room are free. Were a priming tank is provided, it sould be ensured tat it is full. Ceck to ensure tat te selector in control panel is in AUTO mode. Record te readings of voltage of supply, battery voltage at engine and at control panel and pressure of water in te system at pump room and at te top most floor. Record also te current if any electric motor is run. Observe weter tere is any external sign of leakage in internal piping network and damage to yard ydrants and attend to te same immediately so as to pressure drop in te system. Weekly cecks of fire pump room Te starting and stopping of pressurization pump sould be cecked troug operation of te test valve (so tat water flows back to te pump). Record te pressure reading of bot te operations to ensure tat generated pressure in te system is in order. Wile conducting te above said test ceck, te pumps sould be run one by one for 5 Page 9 of 38

10 minutes eac and any abnormality suc as excessive noise & vibration, burning smell from cable end, warming of bearing surface etc. sould be observed for taking remedial actions. Ceck te alarm systems in te pump room. Ceck te level of electrolyte in te battery of te engine and top up wit distilled water as necessary. Ceck also its specific gravity. If te battery needs carging (as can be judged by te cell voltage) arrange for its carging early and also examine weter trickle carger is defective. Weekly cecks of Wet Riser components: Clean te Internal ydrant points at all floors. See tat tese spaces are not misused for dumping rubbis or for storage. Look for damages to or pilferages of components including te front glass cover of door and attend as required. Look for leakages in te piping system witin te building. Attend as required for example bolts at joints may need tigtening, gasket at joints may need replacement etc. Visually inspect te roof tank and pump for down comer (if provided) for any defects to take timely actions. Montly cecks on engine and pumps: Ceck engine radiator for air restriction if any and clean te same if required. Ceck te condition of drive belts, ose and radiator cap. Clean te battery terminals and apply grease to prevent corrosion. Ceck specific gravity of te Electrolyte. Ceck te exaust system for leakage, corrosion and vibration. See weter te exaust smoke is not very dark. Ceck tat tere are no restrictions to air flow in air cleaner. Ceck tat oil eater is functional. Ceck also te water level in te static tank. Ceck coupling wit pumps for any sign of fatigue. Lubricate bearings of motors and pumps as required. Ceck te gland seal in pumps for leakages and tigten as necessary. Auto operation of wet riser All ydrants, internal and external, sould be operated to ceck te operational readiness of te system. For tis purpose, open te ydrant valve of one ydrant at a Page 10 of 38

11 time and stop te pump after 1 or 2 minutes of operation. Take due precaution to see tat tere is no flooding of areas witin te building during testing. Water sould be directed towards drains. Wile cecking te internal ydrants, verify te free turning of fire ose reel. Lubricate if necessary. Six- montly cecks on system components Roll out te ose pipes in an open space and test for leakage by filling wit water. After te test, was te ose and suspend free from an upper floor vertically in sade (not sunsine) so as to drain and dry evenly. Wen fully dry inside and outside, brus te external surface and roll up evenly wit te female coupling end at te centre so tat roll out for fire figting operation is quick witout twisting. Alternatively te ose may be folded at mid lengt and rolled up evenly from te fold so tat bot te male and female couplings will be on te peripery. Ceck te integrity of all gate valves, in te pump room, internal and external ydrants and elsewere in te wet riser/ sprinkler system. Lubricate if required. Clean te sprinkler eads externally and also te sprinkler bulbs carefully to make tem free from dirt. See tat te sprinkler eads are correctly repositioned after cleaning. Look for corrosion of metallic surfaces including GI components used for earting system. Clean up and treat te corroded surfaces wit appropriate anti-corrosive paint. Inspect te electrical control panel and starters to see tat all power/control contacts are clean, all terminations are sound and all fuses are intact. Inspect all cable end terminations in te fire protection system, including control cables and tigten as required. Ceck and cange filters of diesel oil, engine oil, coolant and air cleaner element of te engine after cecking total ours of operation vis a-vis manufacturer s recommendation. Annual cecks Drain out static tank, clean and fill up wit fres water. If tere is no sedimentation, algae etc. found, tis can be done once in 2 years also. Flus out te entire piping network in sprinkler system and ceck tat te pipes are clear. Carge te system again. Ceck condition of strainer, foot valve (were provided), suction line ardware etc. Ceck pump saft alignment, and condition of anti-vibration mountings for all te pump sets (i.e. wit teir drives). Paint all external MS surfaces, macine base plates, ydrants (not te couplers), pipes, supports etc. Take care to see tat te sprinkler bulbs and spray outlets are not painted Page 11 of 38

12 up, ceck also display boards installed for fire safety at strategic locations. Inspect te fuel tank for any sedimentation. Clean up if required. Conduct Megger test on all cabling, mains and control wiring motors and eart test. (Eart test is to be done in summer and Megger test during monsoon). Replace te engine oil as per ours of operation and recommendation of te manufacturer. Weekly inspection of Fire Alarm System (FAS) Clean all te control panels, sounders and call boxes. Wile cleaning eac panel, verify weter any fault indication lamp is on. If it is on wit or witout an alarm, investigate and rectify te fault. Ceck weter all panel lamps are regulated by te panel lamp test button in eac panel. Ceck tat te system operates under mains failure condition by switcing of te mains supply to te C & I panel and testing any zone for fault / fire condition from te zonal panel. Confirm also tat te audio visual alarm comes up in te C & I panel. Restore mains supply after te test. Log all te panel instruments in C & I panel. Maintenance free Battery sould be used preferably. Ceck on control panel operation All Zonal (sector) panels and C & I panel sould be cecked once a mont. Repeater panels if any sould also be cecked once a mont. To ceck to confirm and ensure tat te operation of te system in eac zone troug te test button in zonal (sector) panel is appening. Te ceck sould confirm initiation of audio visual indication in te zonal (sector) panel concerned and in te C & I panel and also in relevant sounders. Ceck te talk back system from bot ends and also PA system of C & I panel. Ceck tat te Air-conditioning / ventilation blowers are automatically switced off wen fire condition is simulated by te Test button in te zonal (sector) panel. It is likely te A/C system is not interconnected wit te fire alarm system in many installations. Get te interconnection done for all suc (sector) panel at te earliest to avoid azard. Page Ceck te battery condition from te log book readings of voltage. Ceck te carger, if tere is any problem. Ceck battery terminal and replace old grease wit fres grease to prevent corrosion. Consult manufacturer for replacement after 3 to 4 years of battery life. Six montly cecks on Fire Alarm System (FAS) All fire detectors sould be cleaned. Do not blow in eavily into te detector. Use a Page 12 of 38

13 proper suction device. Never leave a detector base witout replacement of te detector. Restore te zonal panel, if it was switced off for tis cleaning operation. Ceck te satisfactory operation of te system by an artificial fire in a bucket; keep required extinguisers before tis test as precaution. Do Megger test for te wiring of FAS. Ceck on associated items Ceck all fire exit ligts for satisfactory operation. Clean / replace lamps as may be necessary. Ceck weter te fire lift is operational and te Fireman s switc is intact. Inspect te building to ensure tat te following are complied wit : Tere is no temporary wiring in te building. Tere are no joints in te supply cord for window type AC units or office equipment. Tere is no bare wiring (witout metallic conduit or cannel cover) over te flooring. Heaters are not used in record rooms. Te space in front of SDBs and oter distribution switc boards is kept free. See if te system of switcing of supply to te building in te evenings (off) and mornings (on) is being followed strictly as fixed in consultation wit user departments. Te Competent Autority of ESIC, reserves te rigt to accept or reject any tender or all tenders witout assigning any reason watsoever. 9. Conditional tenders are liable to be rejected. 10. AMENDMENT OF BID DOCUMENTS: At any time, prior to te date of submission of bids, te Purcaser may, for any reason, weter at its own initiative or in response to a clarification requested by a prospective Bidder, modify te bid documents by amendments. DOCUMENTS ESTABLISHING GOODS CONFORMITY TO BID DOCUMENTS: Te documentary evidence in conformity wit te Bid Documents may be in te form of literature and data and te bidder sall furnis a clause-by-clause compliance on te ESIC's Tecnical specifications and commercial conditions demonstrating substantial responsiveness to te Tecnical Specification and commercial conditions in te form of signing & stamping all te pages of te original bid document by te autorized person/persons. 9. FORMATS AND SIGNING OF BID Te copy of te Bid sall be typed or printed and all te pages numbered consecutively and sall be signed and stamped by te bidder or a person or persons duly autorized to bind te bidder to te contract. Te letter of autorization sall be accompanied wit written power-ofattorney. All pages of te original bid sall be signed and stamped by te person or persons autorized for signing te bid. Te bids submitted sall be sealed properly. (d) Tender may be sent by Registered Post/ Speed Post/ Courier or delivered in person. Te responsibility for ensuring tat te tenders are delivered in time would rest wit te bidder. 11. LATE BIDS: Any bid received by te Purcaser after te deadline for submission of bids prescribed by te Purcaser pursuant to, sall be rejected and returned unopened to te bidder. 12. MODIFICATION AND WITHDRAWAL OF BIDS: No modification of bids is allowed after submission. 13. OPENING OF BIDS: Te purcaser sall open bids in te presence of bidders or teir autorized representatives wo cose to attend on opening date and time. Te bidder s representatives, wo are present, sall sign in an attendance register. Autority letter to tis effect sall be submitted by te representative before tey are allowed to participate in bid opening. A maximum of two representatives for any bidder sall be autorized and permitted to attend te bid opening. Te Bidder's names, documents submitted, modifications, bid witdrawals and suc oter details as te Purcaser, at its discretion, may consider appropriate; will be announced at te opening. Te date fixed for opening of bids, if subsequently declared as oliday by te ESIC, te revised date of scedule will be notified. However, in absence of suc notification, te bids will be opened in te next working day, time and venue remaining unaltered. 14. CLARIFICATION OF BIDS: Page 20 of 38

21 To assist in te examination, evaluation and comparison of bids te Purcaser may, at its discretion ask te bidder for te clarification of its bid. Te request for clarification and te response sall be in writing. However, no post bid clarification at te initiative of te bidder sall be entertained. 15. TECHNICAL EVALUATION: Purcaser sall evaluate te bids to determine weter tey are complete, weter any computational errors ave been made, weter required sureties ave been furnised, weter te documents ave been properly signed and weter te bids are generally in order. Prior to te detailed evaluation, pursuant, te Purcaser will determine te substantial responsiveness of eac bid to te Bid document. For purposes of tese clauses, a substantially responsive bid is one, wic conforms, to all te terms and conditions of te Bid Documents witout material deviations. Te Purcaser's determination of bid's responsiveness is to be based on te contents of te bid itself witout recourse to extrinsic evidence. A bid determined as substantially non-responsive will be rejected by te Purcaser and sall, not subsequent to te bid opening, be made responsive by te bidder by correction of te nonconformity, or by submitting additional documents. 16. EVALUATION AND COMPARISION OF SUBSTANTIALLY RESPONSIVE BIDS: Te purcaser sall evaluate in detail and compare te bids previously determined to be substantially responsive bids. Aritmetical errors sall be rectified on te following basis. If tere is a discrepancy between te unit price and total price tat is obtained by multiplying te unit price and quantity, te unit price sall prevail and te total price sall be corrected by te Purcaser. If tere is a discrepancy between words and figures, te amount in words sall prevail. If te Supplier does not accept te correction of te errors, is bid sall be rejected. Te evaluation and comparison of responsive bids sall be done on te price offered inclusive of Levies & Taxes i.e., GST etc. as indicated in te Price Scedule given in Annexure- (III) of te Bid Document. Te evaluation sall be done on L-1(lowest bid) vendor of total Cost including. Te Purcaser may waive any minor infirmity or non-conformity or irregularity in a bid wic does not constitute a material deviation, provided suc waiver does not prejudice or affect te relative ranking of any bidder. 17. PURCHASER'S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL Page 21 of 38

SIGNING OF CONTRACT: Te issue of firm purcase Order and Signing of agreement wit Competent Autority of ESIC, and Signing of Contract Form sall constitute te award of contract to te bidder. Consequent upon te successful bidder furnising of performance security, te Purcaser sall discarge its Bid security submitted along wit tender document. 19. ANNULMENT OF AWARD: Failure of te successful bidder to comply wit te requirement sall constitute sufficient ground for te annulment of te award and forfeiture of te bid security in wic event te tender sall be cancelled and ESIC may call for new bids. 20. Purcaser reserves te rigt to blacklist a bidder for a suitable period in case of fails to onor teir bid witout sufficient grounds. 21. Te bidder sould give a certificate to te effect tat none of is/er near relative is working in te ESIC in Format- VIII prescribed in te tender document. Te Bidder or its autorized signatory sould furnis certificate saying tat none of te near relative of proprietor OR all partners of partnersip, firm OR all te Directors of te company excluding Government of India/ Financial institution nominees and independent non-official part time Directors appointed by Govt. of India or te Governor of te state is working in te unit were te tender is being applied. Due to any breac of tese conditions by te company or firm or any oter person te tender will be cancelled and Bid Security will be forfeited at any stage wenever it is noticed and ESIC SUPER SPECIALITY HOSPITAL, SANATHNAGAR, HYDERABAD. will not pay any damage to te company or firm or te concerned person. 23 ANNEXTURE-D GENERAL (COMMERCIAL) CONDITIONS OF CONTRACT 1. General Conditions: Te General Conditions sall apply in contracts made by te Purcaser for te procurement of Goods. 2. PERFORMANCE SECURITY: Te supplier sall furnis performance security to te purcaser for an amount equal 10% witin 15 days from te date of issue of Work Order by te Purcaser. Te proceeds of te performance security sall be adjusted by te Purcaser as compensation for any loss resulting from te supplier s failure to complete its obligations under te Contract. Te Performance Security Bond sall be in te form of Bank Guarantee only issued by a Sceduled Bank and in te form provided in FORMAT-IX of tis Bid Document. Te duration sould be at least 14 monts. Te Performance Security Bond will be discarged by te Purcaser after a period of sixty days beyond completion of te supplier s performance obligations including any warranty obligations under te contract. 3. PRICES for CMC Work OF Fire Figting & Fire Alarm System (i) Prices carged by te supplier/bidder for services performed under te contract sall not be iger tan te prices quoted by te Supplier in oter contracts. (ii) Prices once fixed will remain valid during te scedule delivery period. Increase and decrease of Taxes and oter statutory duties will not affect te price during tis period. (iii) During te period of agreement, any increase in taxes and oter statutory duties/levies sall be to te supplier s account. However benefit of any decrease in tese taxes/duties sall be passed on to te Purcaser by te supplier. 4 LIQUIDATED DAMAGES 4.1 Te date of delivery of te stores stipulated in te acceptance of te tender sould be deemed to be te essence of te contract and delivery must be completed no later tan te dates specified terein. Extension will not be given except in exceptional circumstances. Sould, owever, deliveries be made after expiry of te contracted delivery period, witout prior concurrence of te purcaser and be accepted by te consignee, suc delivery will not deprive Page 23 of 38

24 te purcaser of is rigt to recover liquidated damage under clause 4.2 below. 4.2 Sould te supplier fails to onour te commitments under tis contract as prescribed, te purcaser may be entitled to recover liquidated damages assessed and levied by te purcaser wic sall be final and not callengeable by te supplier. 5. FORCE MAJEURE If, at any time, during te continuance of tis contract, te performance in wole or in part by eiter party of any obligation under tis contract is prevented or delayed by reasons of any war or ostility, acts of te public enemy, civil commotion, sabotage, fires, floods, explosions, epidemics, quarantine restrictions, strikes, lockouts or act of God (ereinafter referred to as events) provided notice of appenings of any suc eventuality is given by eiter party to te oter witin 21 days from te date of occurrence tereof, neiter party sall by reason of suc event be entitled to terminate tis contract nor sall eiter party ave any claim for damages against oter in respect of suc non-performance or delay in performance, and deliveries under te contract sall be resumed as soon as practicable after suc an event come to an end or cease to exist, and te decision of te Purcaser as to weter te deliveries ave been so resumed or not sall be final and conclusive. Furter if te performance in wole or part of any obligation under tis contract is prevented or delayed by reasons of any suc event for a period exceeding 60 days, eiter party may, at its option, terminate te contract. Provided, also tat if te contract is terminated under tis clause, te Purcaser sall be at liberty to take over from te Supplier at a price to be fixed by te purcaser, wic sall be final, all unused, undamaged and acceptable materials, bougt out components and stores in course of manufacture wic may be in possession of te Supplier at te time of suc termination or suc portion tereof as te purcaser may deem fit, except suc materials, bougt out components and stores as te Supplier may wit te concurrence of te purcaser elect to retain. 6 TERMINATIONS FOR DEFAULT Te Purcaser may, witout prejudice to any oter remedy for breac of contract, by written notice of default, sent to te supplier, terminate tis contract in wole or in part a) If te supplier fails to deliver any or all of te goods witin te time period(s) specified in te contract, or any extension tereof granted by te purcaser; b) If te supplier fails to perform any oter obligation(s) under te Contract; and c) If te supplier, in eiter of te above circumstances, does not remedy is failure witin a period of 24 ours (or suc longer period as te purcaser may autorize in writing) after receipt of te default notice from te purcaser. In te event te purcaser terminate te contract in wole or in part pursuant. Page 24 of 38

25 Te purcaser may procure, upon suc terms and in suc manner as it deems appropriate, goods similar to tose undelivered and te supplier sall be liable to te Purcaser for any excess cost for suc similar goods. However te supplier sall continue te performance of te contract to te extent not terminated. 7. TERMINATION FOR INSOLVENCY Te Purcaser may at any time terminate te Contract by giving written notice to te Supplier, witout compensation to te supplier. If te supplier becomes bankrupt or oterwise insolvent as declared by te competent court provided tat suc termination will not prejudice or affect any rigt of action or remedy wic as accrued or will accrue tereafter to te purcaser. 8. ARBITRATION In te event of any question, dispute or difference arising under tis Agreement, or in connection tereof, except as to matter, te decision of wic is specifically provided elsewere under te Agreement, te same sall be referred to te Arbitration of te Dean/competent autority, ESIC Super Speciality Hospital, Sanatnagar, Hyderabad wo sall proceed as per te Arbitration Act. Te work under te contract sall continue, during te Arbitration proceedings. Te award of te Arbitrator sall be final, conclusive and binding on bot te parties 9. SET OFF Any sum of money due and payable to te supplier (including security deposit refundable to im) under tis contract may be appropriated by te purcaser or any oter person(s) contracting troug te ESIC and set off te same against any claim of te Purcaser or ESIC or suc oter person or person(s) for payment of a sum of money arising out of tis contract or under any oter contract made by te supplier wit te Purcaser or ESIC or suc oter person(s) contracting troug te ESIC.
